3.1 In consideration of the proper performances of the Services by Contractor XXX shall compensate Contractor a total of Dollars ($________) by paying $_______ within sixty (60) days of receipt of an invoice that certifies completion of ________, _______, _______. The remaining payment shall be due within sixty (60) days of receipt of the final invoice.
3.2 All fees stipulated above are exclusive of value added tax. Save for where the payment of value added tax (or similar) is properly chargeable on the fees paid by XXX to Contractor under this Agreement Contractor shall be solely responsible for payment of all taxes, contributions or other mandatory charges which, as a result of the Services, may or are imposed on Contractor. In determining the payment, the Parties have assumed that Contractor is to be regarded as an independent contractor and that XXX is thus not required to ***withhold preliminary income tax*** or to pay social security contributions or similar costs. Contractor hereby undertakes and guarantees to indemnify and hold XXX harmless from any and all related claims.
