Source text - English CONSIGNMENT AGREEMENT
THIS CONSIGNMENT AGREEMENT is made and entered into this ____ day of July, 2011, by and between JOHN MEZZALINGUA ASSOCIATES, INC. d/b/a PPC, a Delaware Corporation ("PPC"), with its office at 6176 East Molloy Road, East Syracuse, New York 13057, and TELEKTRA SRL, an Italian Private Limited Liability Company with its office located at Via di Fioranello, 96, Roma, 00134 Italia ("TELEKTRA").
WITNESSETH:
A. PPC is in the business, among other things, of selling the Consigned Property (as hereinafter defined) and desires to sell the Consigned Property to TELEKTRA for use in the Telecom Italia pilot project and for potential sales to other mobile operators subject to the terms and conditions of this Agreement.
B. In order to effectuate sales of the Consigned Property, PPC desires to enter into a consignment arrangement with TELEKTRA whereby PPC will deliver to TELEKTRA a certain quantity of the Consigned Property.
C. TELEKTRA is willing to take delivery of, keep in its custody and safeguard, and purchase the Consigned Property in accordance with the terms and conditions hereinafter set forth.
NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the parties hereto agree as follows:
ARTICLE 1. CONSIGNMENT
1.1 PPC shall deliver to TELEKTRA, in one or more installments, certain connectors and [specific inventory names] products (collectively, the "Consigned Property”) as more particularly described and in accordance with the prices set forth in Exhibit A attached hereto, as well as future purchase orders and a Memorandum of Understanding as is currently contemplated between the parties (collectively, the "MOU"), to TELEKTRA on a consignment basis for the purpose of selling the Consigned Property in accordance with the terms and conditions hereinafter set forth. Notwithstanding any provision in any MOU to the contrary, in the event of a conflict between the terms of this Agreement and any MOU, the terms of this Agreement shall control.
1.2 The title to the Consigned Property shall remain in PPC at all times until purchased by TELEKTRA pursuant to Article 6 below. PPC may recall and take possession of any Consigned Property not yet purchased by TELEKTRA at any time and for any reason or no reason, subject to TELEKTRA’s right to purchase the Consigned Property prior to PPC taking possession. In addition, should any sums not be paid when due as provided in this Agreement, then PPC shall have the right, but not obligation, to enter upon the Premises (as defined below) and to repossess all Consigned Property located at the Premises.
1.3 The amount of Consigned Property to be shipped by PPC to TELEKTRA shall be determined by mutual agreement between the parties to this Agreement.
1.4 In the event that TELEKTRA is deemed or determined to have any right, title or interest in the Consigned Property, TELEKTRA hereby grants to PPC a first priority security interest in the Consigned Property, as security for all obligations of TELEKTRA to PPC hereunder. At such time as any Consigned Property is purchased by TELEKTRA, this security interest shall automatically terminate with respect to the Consigned Property so purchased.
1.5 TELEKTRA shall take whatever steps PPC may reasonably consider necessary to protect PPC’s title to and interest in the Consigned Property.
1.6 All sales of the Consigned Property must be made solely to (a) Telecom Italia in connection with the Telecom Italia pilot project or (b) other mobile operators operating in Italy, subject to the advance written consent of PPC, in its sole discretion, and only at prices agreed upon by PPC, in its sole discretion.
1.7 Neither party to this Agreement nor any of their respective employees, customers or agents shall be deemed to be the representative, agent or employee of the other party for any purpose whatsoever, nor shall any of them have any right or authority to assume or create any obligation of any kind or nature, expressed or implied, on behalf of the other, nor to accept service of any legal process addressed to or intended for the other party.
1.8 Nothing in this Agreement shall be deemed to create any employment relationship, dealership, franchise, association, partnership or joint venture between the parties to this Agreement.

Quest’accordo per la vendita su commissione è sottoscritto e intavolato il dì ____ luglio 2011 tra la JOHN MEZZALINGUA ASSOCIATES INC. d/b/a PPC, una società di Delaware (“PPC”), con ufficio situato al 6176 East Molloy Road, East Syracuse, New York 13057, e la TELEKTRA SRL, una società privata a responsabilità limitata, con sede a Via di Fioranello, 96, Roma, 00134 Italia ("TELEKTRA").
SI ATTESTA CHE:
A. La PPC è in affari, tra le altre cose, per la vendita dei Prodotti in deposito ( che verranno specificati qui di seguito), e desidera vendere i Prodotti in deposito alla TELEKTRA per l’uso nel progetto pilota della Telecom Italia e per potenziali vendite ad altri operatori di telefonia mobile sottostanti ai termini e alle condizioni di questo accordo.
B. Al fine di poter vendere i Prodotti in deposito, la PPC desidera sottoscrivere un accordo per la vendita su commissione con la Telektra secondo il quale la PPC invierà alla TELEKTRA una quantità specifica dei Prodotti in deposito.
C. La TELEKTRA è disposta a prendere in consegna, custodire e salvaguardare, nonché ad acquisire i Prodotti in deposito in conformità ai termini e alle condizioni stabiliti qui di seguito.
Quindi, tenuto conto delle premesse e dell’accordo reciproco contenuti nel presente atto, le parti in causa concordano come segue:
ARTICOLO 1. SPEDIZIONE
1.1. La PPC consegnerà alla TELEKTRA, in una o più consegne rateali, determinati connettori e prodotti [specificarne i nomi da inventario] (riferiti collettivamente come “Prodotti in deposito”) descritti in maniera più particolareggiata e in accordo con i prezzi stabiliti nella prova A qui di seguito allegata, così come ordini di acquisto futuri e un memorandum d’intesa (MOU), alla TELEKTRA sulla base di una spedizione volta alla vendita dei Prodotti in deposito in ottemperanza ai termini e alle condizioni stabilite qui di seguito. In deroga a qualsivoglia disposizione contraria nel MOU, nell’eventualità di un conflitto tra i termini di questo accordo e il MOU, varranno i termini di questo accordo.
1.2. Il titolo dei Prodotti in deposito resterà alla PPC fino a che non verranno acquisiti dalla TELEKTRA in conformità all’art. 6 sottostante. La PPC può ritirare e prendere possesso dei Prodotti in deposito non ancora acquisiti dalla TELEKTRA in qualsiasi momento e per qualsiasi ragione, in rispetto al diritto della TELEKTRA di acquisire i Prodotti in deposito prima che la PPC ne prenda possesso. Inoltre, non dovessero i costi essere pagati quando dovuti così come previsto in quest’accordo, la PPC avrà il diritto, ma non l’obbligo, ad entrare negli edifici aziendali (così come definiti qui di seguito) e di riprendere possesso dei Prodotti in deposito situati negli edifici.
1.3. La quantità di Prodotti in deposito da consegnare dalla PPC alla TELEKTRA dovrà essere stabilita da un accordo reciproco tra le parti in causa.
1.4. Nel caso in cui la TELEKTRA venga ritenuta o considerata avente qualsiasi diritto, titolo o interesse sui Prodotti in deposito, con la presente la TELEKTRA garantisce alla PPC un’iniziale forma di garanzia prioritaria sui Prodotti in deposito, così come la garanzia per tutti gli obblighi della TELEKTRA nei confronti della PPC esposti qui di seguito. Nel momento in cui i Prodotti in deposito verranno acquisiti dalla TELEKTRA, questa forma di garanzia terminerà automaticamente per quanto riguarda i Prodotti in deposito acquisiti.
1.5. La TELEKTRA dovrà prendere qualsiasi provvedimento la PPC riterrà ragionevolmente necessario per proteggere il titolo e l’interesse della PPC sui Prodotti in deposito.
1.6. Qualsiasi vendita dei Prodotti in deposito dovrà essere effettuata unicamente (a) verso la Telecom Italia in accordo al progetto pilota con la Telecom Italia o (b) qualsiasi altro gestore di telefonia mobile in Italia sottostante al consenso scritto della PPC, a sua discrezione, e solo ai prezzi concordati dalla PPC, a sua discrezione.
1.7. Nessuna delle parti in causa, né alcuno dei loro rispettivi dipendenti, clienti o agenti dovrà essere considerato il rappresentante, agente o dipendente dell’altra parte per alcuna ragione, né dovrà alcuno di loro avere il diritto o l’autorità di assumere o creare obblighi di alcun tipo o natura, espliciti o impliciti, per conto dell’altro, né dovrà accettare servizi di natura legale rivolti o intesi per l’altra parte.
1.8. Nulla in questo accordo dovrà essere considerato come la creazione di un rapporto lavorativo, una concessione, un’esclusiva, un’associazione, una società o un’iniziativa congiunta tra le parti in causa.
