ESG Engagement’s Policy

Our engagement aims to enhance the long-term value of our shareholdings and foster corporate governance best practices, social responsibility and environmental stewardship.
The goal of our engagement is to:
• Communicate our voting policy to promote good corporate governance and help the issuer to prepare for the next general meeting
• Obtain additional information on voting proposals
• Express our concerns about specific resolutions that are in contradiction to our voting policy.
In 2017, we engaged in dialogue with 109 issuers, a significant increase compared to 2016 (98).
We consider that the engagement is successful if:
• The company withdraws the proposal
• We change our vote in favour of the proposal after a modification of the resolution from the issuer, or if we obtain additional information.
In 2017, we had 28 successful engagements (26% of the total number of engagements).
Some examples of successful engagement:
• Change or communication of the performance criteria that will be used for stock-options and ***restricted share plan***.
• Set-up of a long-term plan for executive pay, with performance conditions measured over three years.
