IV.2.2. Definitions
IV.2.2.1. Inside information
The ad-hoc disclosure obligation is created as soon as there is inside information directly concerns the issuer. Both the definition of inside information and the resulting obligations are derived from article 1 and article 6 (1) of the Market Abuse Directive, and from section 13 (1) of the WpHG. The requirements for qualifying information as ‘inside information’ are now implemented into national law by virtue of section 13 of the WpHG; reference is made to the chapter above, which specifically deals with this issue (III.2.1).
In the previous version of the WpHG, an ad-hoc disclosure obligation was invoked by a fact which had occurred within the issuer’s activities and which, due to its effect on the issuer’s financial situation or general business operations, was likely to have a significant effect on the exchange price of the issuer’s financial instruments.
Given the amended wording of section 15 (1) sentence 2 of the WpHG, which defines the concept of ‘direct effect’, which inside information may have on an issuer (as relating to “circumstances within such issuer’s sphere of activity”), the ad-hoc publication obligation continues to apply to all facts which hitherto constituted publishable information. However, the new wording has extended the scope of inside information now subject to the ad-hoc disclosure obligation (whereas this was not the case in the past).
For instance, this includes inside information relating to facts having occurred outside the issuer’s sphere of activity (external circumstances), or such circumstances which have no effect on the issuer’s financial position or general business operations.
Initial experience in applying this provision has shown that few external circumstances have a direct effect on issuers. Therefore, the amendment (removing the previous requirement, as described above) has not resulted in a material expansion of ad-hoc disclosure obligations. External circumstances (such as changing interest rates, or general regulatory developments) mostly do not have a direct effect on the issuer, and therefore do not require ad-hoc disclosure. Examples for circumstances which must be disclosed under the new version of the WpHG include the publication of a takeover offer submitted to the target company (within the scope of mergers or acquisitions); or the notification by a major shareholder, vis-à-vis an issuer, that it intends to carry out a squeeze-out procedure.
In line with the provisions of European legislation, this definition of inside information forms the basis for the prohibition of insider trading pursuant to section 14, as well as for the ad-hoc disclosure obligation under section 15 of the WpHG. Therefore, an ad-hoc disclosure obligation is deemed to have occurred whenever there is information which has a direct effect on the issuer, and is sufficiently concrete so as to invoke a prohibition of insider trading.
IV.2.2.2. Information directly concerning an issuer
According to the legislative intent of section 15 (1) of the WpHG, the requirement that information be directly concerning an issuer is designed to define the scope of inside information which the issuer must disclose.
The purpose of this additional requirement is to clarify that issuers are not obliged to publish information of a general nature in the course of discharging their ad-hoc disclosure obligation. Also, such information must be related to the issuer, as opposed to information that only relates to the financial instruments issued.
In accordance with the recommendations by the Committee of European Securities Regulators (CESR)10, inside information that only indirectly concerning the issuer includes (but is not limited to) the following:
• general market statistics;
• the result of rating processes, research reports, recommendations or proposals due for publication in the future, which relate to the value of exchange-listed financial instruments;
• the general development of interest rates, or decisions on key interest rates;
• decisions taken by government authorities regarding taxation, regulation, or debt management;
• decisions regarding market supervision rules;
• significant action taken by public authorities or other public institutions (for instance, the information that the competent authority has initiated investigations regarding the issuer’s shares, given alleged violations of the Securities Trading Act, does not establish an ad-hoc disclosure obligation);
• decisions on the rules governing the composition and calculation of indices;
• decisions taken by exchanges, operators of OTC trading platforms or public authorities regarding market regulation issues;
• decisions taken by antitrust or competent supervision authorities regarding exchange-listed companies;
• buy or sell orders concerning the issuer’s financial instruments; or
• changes in trading conditions (such as a change in the admission segment or trading segment, or a change from the Continuous Trading to Auction-Only trading model), or a change in the market-maker.
Moreover BaFin assumes that issuers are only indirectly affected in the following cases:
• information on, or publication of general economic data (such as unemployment statistics), political events, natural disasters or changes in oil prices;
• information regarding a change in the situation of competitors that is relevant to the issuer (such as an impending insolvency proceedings);
• information that only affects the financial instrument concerned, e.g. the acquisition or disposal of a larger-sized equity stake by an investment management company, for investment purposes;
• share splits.
Although inside information which only indirectly concerning an issuer does not invoke a disclosure obligation, it does invoke the prohibition of insider trading pursuant to section 14 of the WpHG.
Furthermore, an ad-hoc disclosure obligation may arise due to the consequences of decisions taken by public authorities regarding the issuer; for example, where a decision by tax or administrative authorities causes a change in profit forecasts, provided that it has a significant effect on the stock exchange or market prices.
In the case of financial instruments admitted to exchange trading, which are based (directly or indirectly) on another underlying instrument (as in the case of warrants or other derivatives), it should be noted that issuers of derivative financial instruments are only obliged to disclose information directly related to these instruments, and which is likely to have an significant effect on the prices of such derivative financial instruments. Accordingly, such issuers are not obliged to disclose inside information they have access to, where such information relates only to the underlying instrument. The situation is different, however, where the same entity is the issuer of a derivative financial instrument as well as of the underlying instrument.

• существенные меры, принимаемые органами государственной власти или иными государственными учреждениями (например, сведения о том, что соответствующие государственные органы инициировали проверку в отношении акций эмитента в связи с предполагаемыми нарушениями закона Германии «О торговле ценными бумагами», не приводят к возникновению обязательства по специальному раскрытию информации);
• решения, касающиеся порядка регулирования структуры и методики расчета индексов;
• решения, принимаемые биржами, операторами внебиржевых торговых площадок или органами государственной власти по вопросам рыночного регулирования;
• решения, принимаемые антимонопольными или компетентными надзорными органами в отношении зарегистрированных на бирже компаний;
• заявки на покупку или продажу финансовых инструментов эмитента; или
• изменение условий торговли (такое как изменение сегмента допуска к торгам или сегмента торгов либо переход от механизма непрерывного сопоставления заявок к модели аукционных торгов) или смена маркет-мейкера.
Более того, по мнению Федерального управления надзора за финансами (BaFin), лишь косвенное влияние на эмитентов могут оказывать:
• общие экономические данные (например, статистические данные о безработице), информация о политических событиях, стихийных бедствиях или изменении цен на нефть либо публикация такой информации;
• актуальная для эмитента информация об изменении обстоятельств у конкурентов (например, надвигающаяся процедура банкротства);
• информация, которая затрагивает только соответствующий финансовый инструмент, например, приобретение или продажа компанией по доверительному управлению инвестициями крупной доли в акционерном капитале в инвестиционных целях;
• дробление акций.
Несмотря на то, что инсайдерская информация, которая затрагивает эмитента лишь косвенно, не подлежит обязательному раскрытию, она является основанием для запрета на осуществление торговых операций с использованием инсайдерской информации согласно статье 14 закона Германии «О торговле ценными бумагами».
Более того, обязательство по специальному раскрытию информации может возникнуть в результате принятия органами государственной власти решений в отношении эмитента, например когда решение налоговых или административных органов обусловливает изменение прогнозов прибыли, при условии что это оказывает существенное влияние на ситуацию на бирже или рыночную стоимость финансовых инструментов.
Что касается финансовых инструментов, допущенных к обращению на бирже и являющихся (прямо или косвенно) производными от другого, базового актива (как в случае варрантов или иных деривативов), следует отметить, что эмитенты производных финансовых инструментов обязаны раскрывать только ту информацию, которая прямо касается этих инструментов и которая может оказать существенное влияние на стоимость таких производных финансовых инструментов. Соответственно, данные эмитенты не обязаны раскрывать инсайдерскую информацию, к которой у них имеется доступ, если такая информация касается только базового актива. Однако это правило не распространяется на те случаи, когда в роли эмитента производного финансового инструмента и базового актива выступает одна и та же организация.

4. General Provisions of Statement 142, Goodwill and Other Intangible Assets
Scope
Statement 142 supersedes APB 17 but retains, without the FASB's reconsideration, the general requirement to expense costs as incurred to internally develop intangible assets. The initial recognition and measurement provisions of Statement 142 apply to intangible assets acquired individually and as part of a group, while Statement 141 addresses the recognition and measurement of intangible assets acquired in a business combination or the purchase of the minority interest in a subsidiary. Statement 142 addresses the subsequent accounting for goodwill recognized in accordance with Statement 141 and intangible assets acquired either individually, with a group of other assets, or in a business combination. Additionally, Statement 142 applies to goodwill embedded in the difference between the cost of an equity method investment and the investor's interest in the underlying net assets of the investee (such goodwill is referred to as "equity method goodwill").
Statement 142 addresses the impairment of goodwill and intangible assets that are not amortized; Statement 144, addresses the impairment of intangible assets that are amortized.
Who is Affected?
Statement 142 should not be applied to previously recognized goodwill and intangible assets acquired in a business combination between two or more mutual enterprises, acquired in a combination of not-for-profit organizations, or arising from the acquisition of a for-profit business entity by a not-for-profit organization until the FASB issues interpretive guidance on the application of the purchase method of accounting to these transactions. Rather, goodwill and intangible assets acquired in any of the aforementioned combinations should continue to be accounted for under APB 17 until the FASB issues additional guidance (i.e., amortized and assessed for impairment under Statement 144). The FASB plans to consider issues related to these types of combinations in its separate projects on combinations of not-for-profit organizations and combinations of mutual enterprises.
Statement 142 applies to the excess reorganization value recognized by companies that adopt fresh-start reporting in accordance with AICPA Statement of Position No. 90-7, Financial Reporting by Entities in Reorganization Under the Bankruptcy Code. SOP 90-7 states that the excess reorganization value resulting from certain reorganizations under the Bankruptcy Code is an intangible asset. The FASB believes that excess reorganization value is similar to goodwill and, therefore, excess reorganization value should be reported as goodwill and accounted for in the same manner as goodwill.
Financial Institutions
In October, 2002, the FASB issued Statement 147, which amended the scope of FASB Statement 72. Under Statement 147:
Statements 141 and 142 apply to all acquisitions of financial institutions, except for transactions between two or more mutual enterprises, with no special accounting for transactions in which the fair value of the liabilities assumed exceeds the fair value of the assets acquired. Therefore, these transactions would be removed from the scope of paragraphs 5—7 of Statement 72, which discuss the recognition and accounting for the unidentifiable intangible asset. Paragraphs 5—7 of Statement 72 should continue to apply to combinations between two or more mutual financial institutions until the FASB issues guidance related to combinations of these types of entities.
Acquisitions of financial institutions, except for transactions between two or more mutual enterprises, are removed from the scope of FASB Interpretation No. 9, Applying APB Opinions No. 16 and 17 When a Savings and Loan Association or a Similar Institution is Acquired in a Business Combination Accounted for by the Purchase Method. Instead, companies should follow the guidance in Statement 141 for separately identifying core deposit intangibles in those transactions.
Statement 144 is amended to include within its scope long-term customer-relationship intangible assets of a financial institution, such as core deposit intangibles and credit card holder intangibles. These assets are therefore subject to the same undiscounted cash flow recoverability test and impairment loss measurement and recognition provisions as other finite lived intangible assets.
Under Statement 147, companies with a previously recognized unidentifiable intangible asset should continue to amortize that asset unless both of the following conditions are met:
The transaction in which the unidentifiable intangible asset arose was a business combination.
Intangible assets acquired in transaction that meet the recognition criteria in paragraph 39 of Statement 141 (in particular, the long-term customer-relationship intangible assets) were recognized apart from the unidentified intangible asset and those intangible assets have been accounted for separately from the unidentifiable intangible asset after the date of acquisition.
If these conditions are met, the carrying amount of the unidentifiable intangible asset should be re-classified as goodwill as of the date the company initially applied or applies Statement 142 in its entirety, with retroactive restatement for the non-amortization of the unidentifiable intangible asset to the beginning of the fiscal year in which Statement 142 was applied in its entirety. The re-classified goodwill should be accounted for and reported as goodwill prospectively under Statement 142.
Application of the purchase method of accounting (i.e., Statements 141 or 142) is effective for acquisitions for which the date of acquisition is on or after October 1, 2002. Accounting for certain long-term customer-relationship intangible assets and the transition provisions relation to previously recognized intangible assets is effective on October 1, 2002.
Statement 147 does not provide additional guidance for determining whether or not the acquisition of less than a whole bank (or branches) is a business combination at this time. Instead, the guidance in Issue 98-3 should be followed. However, in the basis for conclusions of Statement 147, the FASB stated that they expect there should be little goodwill in acquisitions of less than a whole bank. Also, all identifiable intangible assets, including core deposit intangibles, should be identified and the charter alone is not determinative of whether or not a financial institution acquisition is a business combination.
The determination of whether or not the acquired assets constitute a business under Issue 98-3 will be very important in these cases and will determine the appropriate accounting. If the acquired assets constitute a business under Issue 98-3, the acquisition should be treated as a business combination under Statement 141. However, if the acquired assets do not constitute a business, the acquisition should be accounted for under paragraph 9 of Statement 142, as described below. In this case, the acquirer is precluded from recognizing goodwill in relation to the acquisition.

На кого распространяется действие Стандарта?
СФУ 142 не применяется в отношении ранее учтенных гудвилла и нематериальных активов, приобретенных в результате сделок по объединению бизнеса двух и более взаимных (паевых) предприятий, приобретаемых в рамках объединения некоммерческих организаций или возникающих в результате приобретения коммерческого предприятия некоммерческой организацией, до тех пор, пока ССФУ не выпустит разъясняющих инструкций по применению метода покупки в учете таких сделок. Гудвилл и нематериальные активы, приобретаемые в рамках любой из вышеуказанных сделок по объединению, должны по-прежнему отражаться в учете в соответствии с APB 17 (т. е. амортизироваться и проверяться на обесценение согласно СФУ 144) до тех пор, пока ССФУ не выпустит разъясняющих инструкций. Финансовые институты
В октябре 2002 г. ССФУ выпустил СФУ 147, что привело к изменению сферы применения СФУ 72. В соответствии с СФУ 147:
СФУ 141 и СФУ 142 применяются в отношении всех сделок по приобретению финансовых институтов, кроме как между двумя и более взаимными (паевыми) предприятиями, без особого порядка учета сделок, в которых справедливая стоимость принятых обязательств превышает справедливую стоимость приобретенных активов. Таким образом, указанные сделки исключаются из сферы применения §§5–7 СФУ 72, посвященных признанию и учету неидентифицируемых нематериальных активов. §§5–7 СФУ 72 будут действовать при объединении двух и более взаимных (паевых) финансовых институтов до тех пор, пока ССФУ не выпустит инструкций по объединению этих видов предприятий.
Сделки по покупке финансовых институтов, кроме сделок между двумя и более взаимными (паевыми) предприятиями, исключаются из сферы применения Интерпретации № 9 ССФУ «Применение Мнений APB № 16 и № 17 при покупке ссудо-сберегательной или аналогичной ассоциации путем объединения бизнеса, отражаемого в учете по методу приобретения». Вместо этого предприятиям надлежит следовать инструкциям, изложенным в СФУ 141, для индивидуальной идентификации в рамках таких сделок премии к стоимости депозитов, классифицируемой как нематериальный актив.
В СФУ 144 внесены изменения, согласно которым его сфера применения расширяется за счет включения в нее долгосрочных клиентских отношений как вида нематериальных активов финансового института, в том числе премий к стоимости депозитов и отношений с владельцами кредитных карт. Таким образом, эти активы так же подлежат проверке на возмещение недисконтированным денежным потоком, как и другие нематериальные активы, имеющие конечный срок полезного использования, и на них так же распространяются правила оценки и признания убытков от обесценения.
Согласно СФУ 147 предприятия, ранее осуществившие признание неидентифицируемого нематериального актива, должны продолжать амортизировать такой актив при условии, что им не удастся обеспечить соблюдение двух следующих условий:
сделка, в результате которой возник неидентифицируемый нематериальный актив, представляла собой объединение бизнеса;
нематериальные активы, приобретенные в рамках сделки и удовлетворяющие критериям признания, изложенным в § 39 СФУ 141 (в частности, долгосрочные клиентские отношения как вид нематериальных активов), были отражены в учете отдельно от неидентифицируемого нематериального актива, и такие нематериальные активы были учтены отдельно от неидентифицируемого нематериального актива после даты приобретения.
При соблюдении этих условий учетная стоимость неидентифицируемого нематериального актива подлежит переклассификации как гудвилл с даты перехода компании на СФУ 142 в его совокупности, с пересчетом задним числом на отсутствие амортизационных отчислений по неидентифицируемому нематериальному активу на начало финансового года, на протяжении которого компания применяла СФУ 142 в его совокупности. В последующих периодах реклассифицированный гудвилл будет отражаться в учете и отчетности как гудвилл согласно СФУ 142.
Применение в учете метода покупки (т. е. СФУ 141 или СФУ 142) действует в отношении приобретений, дата которых приходится на период с 1 октября 2002 г. включительно. Учет долгосрочных клиентских отношений как вида нематериальных активов и применение переходных положений к ранее признанным нематериальным активом осуществляется с 1 октября 2002 г.
СФУ 147 не содержит дополнительных инструкций, которые позволили ли бы определить, относится ли на данном этапе приобретение менее чем 100 % банка (или его филиалов) к категории сделок по объединению бизнеса. Для решения этого вопроса следуйте инструкциям EITF 98–3. Тем не менее в основе для выводов СФУ 147 ССФУ было отмечено, что в случае приобретения менее 100 % банка оценочная стоимость гудвилла, скорее всего, будет невысока. Source text - English Impairment of Indefinite-lived Intangible Assets
An intangible asset that is deemed to have an indefinite useful life is not subject to impairment testing under Statement 144. The FASB noted that the non-amortization of the asset merits a more stringent model for the measurement and recognition of impairment. Additionally, because the cash flows associated with indefinite-lived intangible assets would extend into the future indefinitely, those assets might never fail the undiscounted cash flows recoverability test under Statement 144. The FASB concluded that the recognition of impairment losses on indefinite-lived intangible assets should be based on their fair value, without consideration of any recoverability test.
Indefinite-lived intangible assets are to be tested for impairment annually and on an interim basis if events or changes in circumstances between annual tests indicate that the asset might be impaired. The impairment test requires the determination of the fair value of the intangible asset. If the fair value of the intangible asset is less than its carrying value, an impairment loss should be recognized in an amount equal to the difference. The asset will then be carried at its new fair value. Thus, companies will have to determine fair values for these intangible assets every year and apply, in effect, a lower of cost or fair value model. Any subsequent reversal of a previously recognized impairment loss is prohibited. Further, recognition of an impairment charge for an intangible asset that was previously considered indefinite-lived may be an indication that the asset no longer meets the indefinite-lived criteria, and thus should be amortized over its remaining useful life.
Unlike the impairment test for amortizable intangibles and for goodwill, the impairment test for indefinite-lived intangible assets does not include a recoverability test. Because acquired intangible assets are initially recognized at fair value, any decrease in the fair value of the asset will result in an impairment charge. For example, if discounted cash flows are used to determine the fair value of indefinite-lived intangible assets, any increase in interest rates, without an offsetting increase in future cash flows, will cause those discounted cash flows to decrease, resulting in an impairment charge. Therefore, in periods of rising interest rates, companies may be required to record one or more impairment charges as interest rates rise, leading to earnings volatility.

В соответствии с СФУ 144 нематериальный актив, срок полезного использования которого считается неограниченным, не подлежит проверке на обесценение. ССФУ было отмечено, что к неамортизируемым активам применяется более строгая модель оценки и признания обесценения. Таким образом, предприятиям надлежит ежегодно определять справедливую стоимость данных нематериальных активов и фактически применять модель учета по наименьшей из себестоимости и справедливой стоимости. Последующее сторнирование ранее признанного убытка от обесценения не допускается. Далее, признание эффекта (потерь) от обесценения нематериального актива, срок полезного использования которого ранее считался неограниченным, может служить показателем того, что данный актив больше не отвечает критериям, предъявляемым к активам с неограниченным сроком использования, и подлежит амортизации на протяжении остаточного полезного срока службы.
В отличие от проверки на обесценение амортизируемых нематериальных активов и гудвилла, проверка на обесценение нематериальных активов с неограниченным сроком полезного использования не предусматривает проверки на возмещение недисконтированным денежным потоком. Поскольку приобретенные нематериальные активы первоначально отражаются в учете по справедливой стоимости, любое снижение справедливой стоимости актива приводит к возникновению потерь от обесценения. Например, если для определения справедливой стоимости нематериальных активов с неограниченным сроком полезного использования применяются дисконтированные денежные потоки, увеличение процентных ставок без компенсирующего увеличения будущих денежных потоков выразится в уменьшении дисконтированных денежных потоков, что приведет к потерям от обесценения. Source text - English Deduction or Withholding for Tax.
(i) Gross-Up. All payments under this Agreement will be made without any deduction or withholding for or on account of any Tax unless such deduction or withholding is required by any applicable law, as modified by the practice of any relevant governmental revenue authority, then in effect. If a party is so required to deduct or withhold, then that party (“X”) will:-
(1) promptly notify the other party (“Y”) of such requirement;
(2) pay to the relevant authorities the full amount required to be deducted or withheld (including the full amount required to be deducted or withheld from any additional amount paid by X to Y under this Section 2(d)) promptly upon the earlier of determining that such deduction or withholding is required or receiving notice that such amount has been assessed against Y;
(3) promptly forward to Y an official receipt (or a certified copy), or other documentation reasonably acceptable to Y, evidencing such payment to such authorities; and
(4) if such Tax is an Indemnifiable Tax, pay to Y, in addition to the payment to which Y is otherwise entitled under this Agreement, such additional amount as is necessary to ensure that the net amount actually received by Y (free and clear of Indemnifiable Taxes, whether assessed against X or Y) will equal the full amount Y would have received had no such deduction or withholding been required. However, X will not be required to pay any additional amount to Y to the extent that it would not be required to be paid but for:-
(A) the failure by Y to comply with or perform any agreement contained in Section 4(a)(i), 4(a)(iii) or 4(d); or
(B) the failure of a representation made by Y pursuant to Section 3(f) to be accurate and true unless such failure would not have occurred but for (I) any action taken by a taxing authority, or brought in a court of competent jurisdiction, on or after the date on which a Transaction is entered into (regardless of whether such action is taken or brought with respect to a party to this Agreement) or (II) a Change in Tax Law.
