Source text - English Delivery dates shall be deemed indicative only, unless qualified as binding by a specific and expressed provision agreed upon in the order confirmation.
Should a binding delivery term have been specifically and expressly agreed between the Parties and should the Products not be delivered within such binding term for causes attributable to Seller, X shall only be entitled to receive, as liquidated damages, a sum equal to 0,5% (zero point five per cent) of the net price of the delayed Products for each entire week of delay, except for a 10 (ten) days delais de grace, until the maximum sum of 5% (five per cent) of the net price of the delayed Products, with the express exclusion of any other X’s rights, for compensation or others, in connection with the delayed delivery.
Liquidated damages are the sole remedy to compensate any delayed delivery.
The warranties and remedies set forth herein are further conditioned upon the proper, handling, storage and installation of Seller's furnished Products, upon the Products not being operated beyond their rating and, in all respects, having been operated and maintained in a normal and proper manner and not having been subjected to accident, alteration, abuse or misuse.
The Parties’ performance of the obligations as under Art. 5, Art. 6 hereto are expressly declared to be the essence of this agreement. In case of any breach from the Party, from any entity, of any of the obligations set forth in Art. 5, Art. 6 hereto, the other Party shall have the right to terminate this agreement by written notice, and this agreement shall terminate on the day of receipt of such notice by the breaching Party. This provision is without a prejudice to any of the Seller’s rights or remedies including any right to claim for any additional expenses and damages.
All notices, requests, demands and other communications that are required or may be given pursuant to the terms of this agreement shall be deemed given when delivered by courier, mail, fax and e-mail, provided that the sending Party gives a satisfying evidence of the other’s Party receipt, at the following addresses (or to any changes thereof, previously noticed to the other Party as set forth herein).
Translation - Romanian În cazul în care un termen de livrare obligatoriu a fost în mod specific şi expres stabilit de Părţi şi în cazul în care Produsele nu au fost livrate în termenul obligatoriu din cauze atribuibile Vânzătorului, X va fi îndreptăţită doar să primească, ca daune lichidate, o sumă egală cu 0,5% (zero virgulă cinci la sută) din preţul net a Produselor întârziate pentru fiecare săptămână întreagă de întârziere, cu excepţia a 10 (zece) zile de delais de grace, până la o sumă maximă de 5% (cinci la sută) din preţul net al Produselor întârziate, cu excluderea expresă a oricăror altor drepturi ale X, pentru compensaţie sau altele, în legătură cu livrarea întârziată.
Daunele lichidate sunt singura soluţie pentru a compensa orice livrare întârziată.
Garanţiile şi soluţiile prezentate aici sunt în continuare condiţionate de manipularea, depozitarea şi instalarea propriu-zisă a Produselor furnizate de Vânzător, dacă Produsele nu funcţionează la randamentul lor şi, în toate privinţele, au funcţionat şi au fost întreţinute într-un mod normal şi corespunzător şi nu au fost supuse accidentelor, modificărilor, abuzului sau a întrebuinţării greşite.
Realizarea obligaţiilor de către Părţi conform Art. 5, Art. 6 din prezentul contract este declarată în mod expres de acesta ca fiind esenţa acestui contract. În cazul încălcării de către oricare dintre Părţi, a oricărei instituţii, a oricăreia din obligaţiile expuse în Art. 5 şi Art. 6 din prezentul contract, cealaltă Parte va avea dreptul de a termina acest contract prin înştiinţare scrisă iar acest contract se va termina la data primirii acestei înştiinţări de către Partea care a încălcat contractul. Această prevedere nu va prejudicia nici unul din drepturile sau despăgubirile Vânzătorului inclusiv niciun drept de a revendica orice cheltuieli suplimentare sau daune.
Toate înştiinţările, cererile, solicitările şi alte comunicări care sunt solicitate sau pot fi date conform clauzelor acestui contract vor fi considerate că au fost oferite atunci când vor fi livrate de curier, poştă, fax, e-mail, cu condiţia ca Partea expeditoare să ofere o dovadă satisfăcătoare a primirii de către cealaltă Parte, la următoarele adrese (sau la oricare schimbare a acestora, în prealabil înştiinţată celeilalte părţi după cum se prezintă în prezentul contract).

Source text - Romanian k. Informaţii privind activităţile de dezvoltare rurală din alte state membre
Pentru a sprijini activitatea descrisă în secţiunea 2.1.7., USR va dezvolta, în colaborare
cu REDR şi reţelele naţionale din alte state membre, un sistem prin internet care va permite:
• schimbul eficient de idei, experienţe şi expertiză între actorii implicaţi în dezvoltarea
rurală din România şi din alte state membre;
• furnizarea de informaţii către toţi utilizatorii privind dezvoltările din zonele rurale din
Uniunea Europeană.
În acest scop, trebuie reţinut faptul că baza de date europeană ce va fi furnizată de
REDR va include link-uri către site-urile anterioare ale LEADER II şi LEADER , care vor
reprezenta documente arhivate, fără a mai suporta actualizări. USR va asigura conectarea la
aceste link-uri.
l. Facilitatea de schimburi prin internet cu privire la aspecte tematice
Aşa cum este menţionat la punctul 2.1.3. de mai sus, USR va furniza şi va anima un
forum de discuţii prin internet. Acesta trebuie să fie cât mai accesibil tuturor actorilor implicaţi în
procesul de dezvoltare rurală din România, astfel încât aceştia să îşi poată exprima opiniile cu
privire la dezvoltarea zonelor rurale, specifice fiecărei măsuri sau stadiu de implementare a
PNDR. Discuţiile din cadrul forumului ar putea atrage contribuţia constructivă a unui număr
mare de actori interesaţi de îmbunătăţirea performanţei PNDR şi ar putea avea ca rezultat
pregătirea, de către USR sau de către experţi sau membri RNDR, de documente care să se
adreseze unor aspecte tematice specifice.
Pentru a sprijini acest proces, pagina web ar putea include o facilitate (intranet şi
extranet) menită să încurajeze participarea largă la activitatea întreprinsă de grupurile de lucru
tematice. Aceste procese interactive pot fi extinse mai târziu, astfel încât să acopere toate axele
şi măsurile din PNDR, cât şi anumite aspecte orizontale, în mod continuu.
Această facilitate poate include:
• o secţiune în cadrul căreia toţi actorii implicaţi în procesul de dezvoltare rurală din
România pot face propuneri privind înfiinţarea grupurilor de lucru tematice sau a unor
domenii de acţiune în contextul RNDR;
• o facilitate cu acces limitat, care să permită colaborarea, în mod permanent, a actorilor,
experţilor, academicienilor şi funcţionarilor publici, destinată unor probleme rurale
specifice, din cadrul PNDR;
• o secţiune care să ofere celor interesaţi accesul la o serie de documente din secţiunea
cu acces limitat.
Translation - English k. Information regarding the activities of rural development from other member states
In order to support the activity described in the section 2.1.7., NSU shall develop, in collaboration with ERDN and the national networks from other member states, a system with the help of the internet that would allow:
• the efficient change of ideas, experiences and expertise between the actors involved in the rural development from Romania and other member states;
• giving information to all users about the rural areas developments from the European Union.
In this matter, one should keep in mind that the European database that would be given by ERDN, shall include the links to the previous sites of LEADER II and LEADER , which represent archived documents with no other updates. NSU shall provide the connection to these links.
l. The facility to exchange via internet when it comes to thematic aspects
As it is mentioned at point.1.3. above, NSU shall provide and create a forum of discussion on the internet. This would have to be easily accessible to all actors involved in the process of rural development from Romania, so that these would express their opinion on the rural areas developments, specific to each measure or level of implementation of NRDP. The discussions from the forum attracts the constructive contribution of a great number of actors interested in the performance improvement of NRDP and might have as a result the preparation by NSU or other experts or NNDR members, of documents that would address some specific thematic aspects.
In order to support such a process, the webpage could include a facility (intranet and extranet) meant to encourage the wide participation in the activity organized by the theme workgroups. These interactive processes can later and continually be extended so that it covers all axis and measures of NRDP, as well as some certain horizontal aspects.
This facility can include:
• a section in which all actors involved in the rural development process from Romania can come with suggestions relating to the establishing of theme workgroups or of some domains of action in NNDR context;
• a facility with limited access that would allow the permanent collaboration of actors, experts, academicians and clerks, and meant for some specific rural issues from NRDP;
• a section that would offer to those interested, the access to a series of documents from the limited access section.

Această activitate este obligatorie conform articolului 68 (2b) al Regulamentului
Consiliului nr. 1698/205 şi reprezintă o activitate esenţială a RNDR.
Într-adevăr, diseminarea bunelor practici şi a inovaţiilor are un rol central în
implementarea eficientă a PNDR. A învăţa din experienţele altora este unul dintre obiectivele
principale ale activităţii în reţea. Aplicarea largă a bunelor practici ar putea contribui
semnificativ, spre exemplu, la creşterea calităţii produselor rurale, succesului în agro-turism,
creşterea valorii adăugate a resurselor culturale sau realizarea unor beneficii multiple prin
schemele de agro-mediu.
Sondajul prin chestionare indică un interes ridicat în rândul membrilor Reţelei în ceea ce
priveşte schimbul de experienţă şi bune practici.
USR va identifica şi selecta exemplele de bune practici privind diverse aspecte ale
dezvoltării rurale din România şi de asemenea (prin intermediul REDR), din alte regiuni ale UE,
inclusiv exemple care demonstrează inovaţia, va disemina informaţia privind aceste exemple în
rândul actorilor implicaţi în dezvoltarea rurală în România şi dacă este cazul, va oferi asistenţă
tehnică membrilor reţelei pentru transferul şi implementarea bunelor practici.
Pentru îndeplinirea acestei sarcini, USR se va baza pe sprijin din partea organizaţiilor
membre ale RNDR. Dintre cele aproximativ 550 de organizaţii incluse în sondaj, 230 au
declarat că sunt deja implicate în furnizarea de informaţii privind bunele practici, iar 228 doresc
să fie implicate.
Această activitate presupune trei tipuri principale de acţiuni:
• Identificarea bunelor practici şi a inovaţiei (punctul 2.1.4.1. de mai jos);
• Diseminarea bunelor practici (punctul 2.1.4.2. de mai jos);
• Asistenţă tehnică pentru transferul şi implementarea bunelor practici (punctul 2.1.4.3.
de mai jos).
Translation - English Promotion of good practices
This activity is compulsory according to article 68 (2b) of the Council Regulations no. 1698/205 and represents an essential activity of NRDN.
Indeed the dissemination of good practices and innovations has a central role in the efficient implementation of NRDP. One of the main objectives of the network activity is to learn from the others experiments. The large application of good practices might significantly contribute to the improvement of rural products, to the success in agritourism, the increase of the cultural value added to the cultural resources or the accomplishments of some multiple benefits with the help of agri-environment schemes.
The questionnaire shows a high interest of the Network members when it comes to the change of experience and good practices.
NSU shall indicate and select the examples of good practices regarding different aspects of rural development from Romania and (with the help of NRDN) from other EU regions, including examples that prove the innovation. These examples will disseminate the information concerning actors’ examples, who are involved in the rural development in Romania. If the case, they will provide technical assistance to the network members for the transfer and implementation of good practices.
In order to fulfill this task, NSU shall be based on the support of the NRDN member organizations. From almost 550 organizations included in the questionnaire, 230 stated that they are already involved in providing information relating to good practices and 228 want to get involved.
This activity implies three main types of actions:
• Identification of good practices and innovation (point 2.1.4.1. below);
• Dissemination of good practices (point 2.1.4.2. below);
• Technical assistance for the transfer and implementation of good practices (point 2.1.4.3.
below).
