Does anyone know the English terms for "Vertragsnehmer" and 'Vertragsübernehmer" in a Vertragsübernahme? This is from an agreement to transfer an agency contract. Transferor and Transferee, maybe? UK English.

This is highly misleading. A "Vertragsnehmer" is the second part to a contract. See also the old KudoZ answer by Steffen, which you've already posted. So I don't understand at all how this veered off track.

Just one example:

The point is that the "assignor is an original party to the contract." Conversely, "The assignee is the party that receives the rights and obligations under the contract, but wasn't an original party to the contract."

See what I did there? The part in bold makes it clear that someone else is assuming the role of second party to the contract. There can be an "alter" and a "neuer" Vertragsnehmer.

This doesn't square.

@Erzsébet I don't think posting another answer would be needed. I was more concerned with the glossary entry and wanted Andrew to have an explanation handy (for next time, I guess).

See, "Vertragsnehmer" may be "contractor" and "Vertragsgeber" "contractee." However, in franchising, the franchisor is "Franchise-Geber" and the franchisee "Franchise-Nehmer" - the roles have been reversed.

Unless this is a "sub-subcontracting" scenario, which is highly unlikely, there is no way the given answer is correct.

Let me illustrate:

Party A (Franchise-Geber, franchisor) + Party B (Franchise-Nehmer, franchisee) = franchise contract

Party B (franchisee, but assignor) -> transfers rights -> Party C (assignee) -> contract between Party A and Party C

US example:
"To the extent a Franchisor approves a requested transfer, the Franchisor should not seek [...] from the prior Franchisee, or seek any increased fees from the new Franchisee owner of the subject Facility, because the Franchisee sought to transfer its Facility prior to the scheduled termination date of its franchise agreement."

The point seems to be that you can "subcontract" to save costs.

Hello Andrew I happened to come across this question again and am a bit surprised about the outcome. I didn't think there was anything to add after Phil agreed to the first answer.

The "Vertragsübernehmer" is the one who "übernimmt den Vertrag," e.g.:
"Der Vertragsübernehmer übernimmt die gesamte vertragliche Rechtsstellung, ohne dass dadurch der Inhalt oder die rechtliche Identität des bisherigen Schuldverhältnisses verändert werden würde."

The answer you selected is - to use the answerer's own words - "100% wrong." What's even more odd is that it's all right there in the first link he posted:

(In my experience, the term "transfer" in this context is unidiomatic, and would not be encountered more than 5-10% of the time. Thus I don't consider it wrong, just unidiomatic.)
(Of course, "transferee" in the above answer is 100% wrong. It should be "transferor".)
