Discussion
- Billets "nominatifs" ? Ça n’apparaît nulle part dans le texte (et c’est plutôt rarissime de nos jours, les inscriptions en compte étant favorisées).
- "obligations" enregistrées? Le billet est effectivement une obligation, mais toutes les obligations ne sont pas des billets. Le terme n’apparaît pas dans le segment à traduire et il serait pour le moins équivoque de l’y ajouter en traduisant par "offre d’échange d’obligations enregistrées [= registered bonds!] contre des billets...", surtout dans ce cas-ci!
Les billets sont enregistrés auprès de la SEC (on lit aussi "inscrits", selon le cas) parce que l’offre y a été enregistrée. Le fait que les choses soient exprimées différemment dans différentes parties du texte n’invite aucunement à supprimer une formulation donnée pour y substituer la seule version qui nous convient.

Si tu fais une recherche, tu remarqueras qu’on trouve les deux: offre d’échange enregistrée et offre publique d’échange/offre d’échange publique
This offer was "registered" in some kind of register connected to the stock exchange, in practical terms this offer was made "official/officially advertised to anyone interested".
If you know which institution "registered" this offer (for swapping obligations?) you can look at their procedures and see what terminology they are using.
OTOH even if it turns out that their preferred term is something else, a "registered offer of exchange" is certainly not wrong i.e. is very unlikely to be misinterpreted/misunderstood.
