Source text - English III. Rights and Obligation of Parties
1. Client undertakes to co-operate with the provider to necessary extent, mainly to provide complete, transparent and true documents according to the Article III paragraph 3 of this contract, and to do so on time.
2. Client undertakes to submit to the provider documents necessary for performing the agreed service with the following deadlines:
- documents for salaries continuously, however not later than 7 days prior the defined day of payment
- information on bookkeeping operations and all documents to be booked which are necessary for executing the VAT return continuously, however not later than 10 days after the end of calendar month, when the operations were performed
- information on bookkeeping operations and all documents for double-entry bookkeeping continuously, however not later than 10 days after the end of calendar month, when the operations were performed.
3. As for the purpose of this contract, documents shall comprise mainly the following:
invoices (tax documents), invoices both in and out
cash vouchers in and out and copies of sheets of cash book
bank account statements of all accounts
copies of concluded contracts
documents for bookkeeping salaries
4. Special care shall be given to documents, which are the base for executing VAT tax return. Such documents shall contain all formalities of a tax document pursuant to provisions of act on value added tax. The client is responsible for the completeness, whereas provider is obliged to notify the client about all errors in writing and to call upon him to correct such errors.
Translation - Czech III. Práva a povinnosti smluvních stran
1. Klient se zavazuje do nezbytné míry s poskytovatelem spolupracovat, a to především poskytnout mu kompletní, přehledné a pravdivé dokumenty v souladu s článkem III. odstavcem 3 této smlouvy a učinit tak včas.
2. Klient se zavazuje předložit poskytovateli dokumenty, které jsou nezbytné k provádění sjednaných služeb, do následujících mezních termínů:
- podklady pro platy/mzdy - průběžně, nicméně nejpozději 7 dnů před výplatním dnem,
- informace o účetních operacích a veškeré dokumenty, které mají být zaevidovány a které jsou nutné pro vyhotovení přiznání DPH – průběžně, nicméně nejpozději 10 dnů po ukončení kalendářního měsíce, v němž operace proběhly,
- informace o účetních operacích a veškeré podklady k podvojnému účetnictví – průběžně, nicméně nejpozději 10 dnů po ukončení kalendářního měsíce, v němž operace proběhly.
3. Dokumenty budou pro účely této smlouvy zahrnovat především následující:
faktury (daňové doklady), jak faktury přijaté tak vydané,
pokladní doklady přijaté a vydané a kopie listů peněžního deníku,
výpisy z bankovního účtu všech účtů,
kopie uzavřených smluv,
podklady pro vedení výplat/mezd.
4. Zvláštní péče bude věnována dokumentům, které jsou podkladem pro vyhotovení přiznání DPH. Tyto dokumenty budou obsahovat veškeré náležitosti daňového dokladu dle ustanovení zákona o dani z přidané hodnoty. Klient odpovídá za úplnost, zatímco poskytovatel je povinen klienta písemně upozornit na všechny chyby a vyzvat jej k jejich opravě.

3.1. Cena díla, jež je předmětem plnění smlouvy, se stanoví dohodou dle ustanovení zákona č. 526/1990 Sb., o cenách, v platném znění, a činí bez DPH ……….Kč (slovy …………korun českých). Cena díla je definována jako maximální a platná po celou dobu plnění díla a obsahuje veškeré práce, dodávky, činnosti a náklady související s realizací díla vč. inflace.
DPH bude účtováno zvlášť podle platné sazby DPH v den fakturace.
Cena díla může být změněna pouze v případě, že v průběhu provádění díla nebo v době, kdy bude dílo dokončeno, dojde ke změně sazeb DPH zákonem o dani z přidané hodnoty.
3.2. Dohodnutá cena zahrnuje veškeré náklady zhotovitele související s provedením díla.
3.3. Objednatel si vyhrazuje právo, v případě vládního zásahu, krácení finančních prostředků ze státního rozpočtu, dohodnout se zhotovitelem úpravu ceny uvedené v čl. 3 této smlouvy a právo rozšířit, nebo zúžit rozsah prováděných prací podle aktuální potřeby, a to i v závislosti na výši finančních prostředků přidělených ze státního rozpočtu. V případě snížení, nebo zvýšení celkové výše nákladů dle této smlouvy, bude mezi objednatelem a zhotovitelem uzavřen dodatek k této smlouvě.
Platební podmínky a fakturace
4.1. Konečná faktura bude vystavená zhotovitelem do …. dnů po převzetí a akceptaci díla objednatelem.
4.2. Faktury budou mít tyto náležitosti: Označení faktury a její číslo, název a sídlo zhotovitele, IČ a DIČ zhotovitele, DPH, bankovní spojení, předmět smlouvy a vyfakturovanou částku.
4.3. Faktury vystavené zhotovitelem budou splatné do ….. dnů po jejich obdržení objednatelem
4.4. Objednatel může faktury vrátit do data jejich splatnosti, pokud budou obsahovat nesprávné nebo neúplné náležitosti či údaje.
Translation - English Price for Performance
3.1. The price for Work that is the subject matter hereof shall be stated by agreement according to the provision of the Act No. 526/1990 Coll., on Prices, as amended, and amounts to CZK …………… VAT excluded (in words …………….. Czech crowns). The Work price is defined as maximum and valid for the whole period of execution of the Work and contains all works, deliveries, activities and costs relating to the Work performance, including inflation.
VAT shall be invoiced separately according to the VAT rate applicable on the day of invoicing.
The Work price may only be changed in case that the VAT rate is amended during the Work execution or at the time of the Work completion by the Value Added Tax Act.
3.2. The agreed price includes all Contractor’s costs relating to the Work performance.
3.3. The Client reserves the right, in case of governmental interference or reduction of financial means from the State budget, to agree with the Contractor upon an amendment of the price stated in the Article 3 hereof and the right to extend or reduce the scope of works to be done according to the current need and depending on the amount of financial means granted from the State budget. In case the total amount of costs hereunder decreases or increases, an amendment hereto shall be entered into between the Client and the Contractor.
Terms of Payment and Invoicing
4.1. The final invoice shall be issued by the Contractor within …. days upon the Work has been taken over and accepted by the Client.
4.2. Invoices shall include the following particulars: The invoice designation, invoice number, name and registered office of the Contractor, Contractor's Company identification number and Tax identification number, VAT, bank connection, subject matter of the Contract and the sum invoiced.
4.3. Invoices issued by the Contractor shall be due within ….. days upon their receipt by the Client.
4.4 The Client may return the invoices within their maturity day if they contain incorrect or incomplete particulars or data.
