Thank you Germaine There was a mention to the Italian civil code in the text so I did have a look. In my case, the agreement is between companies. I had to use my best judgement to select a term that fit in.

To Germaine The document is a distribution agreement. At the bottom of the table of contents there were Appendices and then Vexatious clauses. The document originates from Italy.

Priscilla, I'm lost. You said: "Vexatious clauses" appearing in the table of contents of a distribution agreement.

So, this has to be seen as the title of a clause describing the treatment of any clause of the agreement that would be deemed vexatious ((just as the clause "Purpose of the agreement" describes... the purpose of the agreement), not as some sort of qualifier for all of the clauses in the agreement!

What is your translation, if I may ask?

Feedback Dear all,

thank you for your responses. However, I ended up not choosing either "vexatoires" or "abusives" as the said clauses were not in the least "vexatious" (for eg. purpose of the agreement, territory covered by the distributorship, termination, terms and mode of payment). On the contrary, they were paramount in the text and the Parties were to sign under the list of such clauses that they undertook to comply with these specific clauses.

In any case, merci beaucoup for your input.

Please could you confirm what country this legal document originates from?
And once you actually go to the part of the document referenced in the table of contents, what does it say about these clauses?
