1. Modifica dell’articolo sei (6) dello statuto, affinché assuma il seguente contenuto: “La Società sarà amministrata da un Consiglio di Amministrazione comprendente almeno tre membri, i quali non dovranno necessariamente essere soci della Società. Gli amministratori saranno eletti dagli azionisti nell’ambito dell’Assemblea dei Soci che ne stabilirà il numero, il compenso e la durata del mandato. La durata del mandato di un amministratore non può essere superiore a sei anni e gli amministratori restano in carica sino alla nomina dei successori. Gli amministratori possono essere eletti per diversi mandati consecutivi.
Quando la Società è costituita da un socio unico, o se, nell’ambito di una Assemblea dei Soci, si constati che essa ha ormai solo un unico socio, il Consiglio di Amministrazione potrà essere composto da un solo membro, sino alla Assemblea ordinaria dei soci successiva alla eventuale constatazione dell’esistenza di più soci.
In questo caso, l’amministratore unico eserciterà i poteri assegnati al Consiglio di Amministrazione.
Gli amministratori saranno eletti a maggioranza semplice dei voti delle azioni presenti o rappresentate. L’incarico di un amministratore può essere revocato con o senza causa, e/o l’amministratore può essere sostituito in qualunque momento, a fronte di delibera della Assemblea Generale dei Soci.
Nel caso in cui una carica di amministratore resti vacante a seguito di decesso, dimissioni o di qualunque altra causa, tale carica vacante potrà essere temporaneamente gestita sino alla successiva riunione della Assemblea Generale dei Soci secondo quanto previsto dai termini di legge vigenti.”
2. Aggiunta di un nuovo articolo sette (7) riguardante l’organizzazione del Consiglio di Amministrazione: “Il Consiglio di Amministrazione nomina al suo interno un presidente, e potrà designare un vice presidente. Potrà inoltre scegliere un segretario, che potrà anche non essere membro del consiglio di amministrazione, il quale avrà il compito di redigere i verbali delle assemblee del Consiglio di Amministrazione e delle Assemblee Generali dei Soci.
Le riunioni del Consiglio di Amministrazione saranno convocate dal presidente, o da due amministratori, nel luogo indicato nell’avviso di convocazione.
Il presidente del Consiglio di Amministrazione presiede tutte le riunioni dei soci o del Consiglio di Amministrazione. Tuttavia, in sua assenza, i soci o gli amministratori possono, con voto di maggioranza semplice, nominare un’altra persona in qualità di presidente provvisorio.
L’avviso di convocazione di qualunque assemblea del Consiglio di Amministrazione dovrà essere dato per iscritto a tutti gli amministratori almeno ventiquattro ore prima della data prevista per la riunione, salvo in casi d’urgenza, nel qual caso la natura e le motivazioni di tale urgenza dovranno essere indicati brevemente nell’avviso di convocazione. E’ possibile rinunciare all’obbligo della convocazione scritta a fronte di consenso da parte di tutti gli amministratori, da formularsi per iscritto a mezzo cablogramma, telegramma, telex, telecopia od in qualunque altro mezzo di telecomunicazione. Non sarà necessaria convocazione speciale per una riunione del Consiglio di Amministrazione che si tenga in un luogo ed in un momento fissati da una precedente delibera assunta dal Consiglio di Amministrazione.
Tutti gli amministratori possono farsi rappresentare in seno al Consiglio di Amministrazione nominando per iscritto con delega originale od a mezzo telefax o telegramma, un altro amministratore come proprio mandatario. Un amministratore può rappresentare uno o più dei suoi colleghi.
Il Consiglio di Amministrazione può inoltre riunirsi in conferenza telefonica, tramite videoconferenza od altro mezzo di comunicazione che consenta a tutti i partecipanti di udirsi reciprocamente. Le delibere vengono assunte a maggioranza dei voti degli amministratori presenti o rappresentati. Nel caso in cui in un’assemblea si verifichi una parità dei voti a favore o contro una delibera, prevarrà il voto del presidente dell’assemblea.
Il Consiglio di Amministrazione può, all’unanimità, adottare una delibera tramite circolare, a condizione che essa sia stata espressamente approvata per iscritto tramite cablogramma, telegramma, telex, telecopia od altro mezzo di comunicazione simile, e confermata per iscritto. L’insieme di questi documenti costituirà il verbale a comprova dell’assunzione della delibera.
I verbali di tutte le assemblee del Consiglio di Amministrazione dovranno essere firmati dal Presidente o, in sua assenza, dal vice presidente, o da due amministratori. Eventuali copie od estratti di tali verbali che possano essere prodotti nell’ambito di un procedimento giudiziario, dovranno essere firmati dal presidente o da due amministratori”.

1. Modification of article six (6) of the Regulations, so that it has the following content: “The Company will be administered by a Board of Directors made up of at least three members, who do not necessarily have to be shareholders of the Company. The directors will be elected from the shareholders during the Shareholders’ Meeting which will also establish the number of members, compensation and mandate. The duration of a director’s mandate cannot exceed six years and the directors remain in office until their successors are appointed. The directors can be elected for consecutive mandates.
In case the Company is founded by a sole shareholder, or if, during the Shareholders Meeting it is ascertained that by now it has only one shareholder, the Board of Directors may be made up of one member, until the next ordinary shareholders’ Meeting that will follow the realization of the existence of more shareholders. In this case, the sole director will exert the powers assigned to the Board of Directors.
The directors will be elected by simple majority of votes of shares that are present or represented. The assignment of a director can be revoked with or without cause, and/or the director can be replaced at any moment, provided that the Shareholders’ General Meeting deliberated as such.
If the office of a director should remain vacant because of death, resignations or any other cause, such office may be temporarily managed until the next Shareholders’ General Meeting in accordance with the provisions of the law in force.”

It is possible to renounce the obligation of sending a written notice in case of consent from all directors, which is to be formulated in writing by means of cablegram, telegram, telex, telecopier or by any other means of telecommunication. If the Board of Directors decided previously with regards to a meeting that is to be held in a certain place and at a certain time, then the sending of a notice is not needed.
All directors may be represented at the Board of Directors by appointing in writing, with power of attorney or by telefax or telegram, another director as his own agent. A director may represent one or more of his colleagues.
The Board of Directors may also meet in conference calls, by using videoconference or other means of communication that allows the participants to hear each other. Participating at a meeting that is held in such conditions equals to the physical presence at such a meeting.
The Board of Directors will be able to decide and/or act efficiently only if at the meeting the majority of directors is present or represented.
The decisions are taken by majority of votes of the directors that are present or represented. If during a meeting there is a parity of votes in favor or against a decision, the vote of the chairman of the meeting shall prevail.
The Board of Directors may, unanimously, adopt a decision by official memorandum, provided that it was expressly approved in writing by cablegram, telegram, telex, telecopier or other similar means of communication, and confirmed in writing. All of these documents together constitute the minutes as evidence of taking the decision.
The minutes of all the meetings of the Board of Directors must be signed by the Chairman or, in his absence, by the vice chairman, or by two directors. Possible copies or excerpts from these minutes that may be elements in a legal proceeding must be signed by the chairman or by two directors”.

Testo originale - Inglese 7.3.2 Emergency Stop Circuits
The highest priority safety circuit is the emergency stop arrangement. Operation of the emergency stop pushbutton on the skid or on the control panel causes the main drive and all auxiliaries to stop immediately. This is to ensure that electrical energy and motive power is removed from all devices which may be a hazard to personnel safety.
The safety circuit relay has two volt free sets of contacts one which controls the main supply contactor for the auxiliaries and the other forms part of the MCC emergency stop circuit.
This emergency stop circuit may also be activated following a serious PLC system failure. A watchdog timer connected to a pulsing PLC output is used to monitor the PLC condition. In the event of the PLC failing, the watchdog timer will trip the emergency stop circuit.
Following activation of the emergency stop circuit, the blower and auxiliary drives are prevented from re-starting until:
• The offending emergency stop device has been reset (or the PLC has become healthy)
• The operator has re-enabled the safety circuits, refer to section 8.1.7
Note: This circuit uses a certified safety device.
7.4 Alarm and Trip Indication
An indication of blower alarm and trip conditions is provided via the operator interface (refer to section 8.2.2).
When an alarm arises, the visual alarm on the top of the control panel will flash and the alarm item will flash on the operator interface.
If subsequent alarms arise they are also displayed.

Când apare o alarmă, alarmă vizuală din partea de sus a panoului de control va lumina intermitent, iar elementul alarmă va începe să clipească pe interfaţa operatorului.

Testo originale - Rumeno Relaţia dintre design şi echilibrul ecologic este de importanţă majoră. Producerea de bunuri în măsura în care acestea răspund necesităţilor umane este foarte binevenită, este progresistă în conţinut. Dar în momentul în care designul este instrumentul de manipulare şi în special de rezolvare a competiţiei, care nu aş zice că serveşte întotdeauna interesului consumatorului, ducând la crize de supraproducţie, aceasta aduce implicaţii adânci ecologice. Zilnic sunt produse milioane de tone de deşeuri, care din păcate nu toate pot fi reciclate, sau dacă da, au nevoie de sute de ani pentru reciclare naturală. Planeta este invadată de aceste deşeuri, problema reciclării devenind o ştiinţă majoră în prezent şi mai ales pentru viitor.
Stocarea deşeurilor în natură se întâmplă la nivel industrial mondial, ducând la distrugeri catastrofice, ireparabile. Planeta noastră trece prin crize nemaiîntâlnite: încălzirea globală ca rezultat al gazelor de ardere, care pe lângă ridicarea apelor rezultată prin topirea gheţarilor aduce schimbări majore în temperatura apelor şi a mişcării aerului ca efect direct, având în ultimii ani intensităţi şi frecvenţe neobişnuite în uragane, tornade, cutremure şi alte manifestări cataclismice. Tot mai multe specii unice de faună şi floră au dispărut sau sunt pe cale de dispariţie, ca rezultat direct al acestui proces de poluare şi de supraîncălzire.
Una din primele indicaţii semnalate la nivel mondial, referitoare la acest proces de otrăvire a planetei ca rezultat al industrializării negândite a fost în Japonia, în 1953, când s-a dovedit că mercurul aruncat în golful Minamata a otrăvit mii de pescari, aducând deformaţii genetice la copiii lor. De atunci, aceste dezastre s-au tot înmulţit: accidentul termonuclear în Pennsylvania, în 1982, să nu uităm Cernobâl, în Ucraina, 1986, mii de oameni otrăviţi în Bhopal, India, în 1984 şi de către corporaţiile chimicale din SUA, o scăpare accidentală de toxice chimice în Rhine de către o companie medicamentală din Elveţia, în 1986, omorând total viaţa din râul care trecea prin Germania, Franţa, Belgia şi Olanda, dezastru care a necesitat peste 5 ani de muncă asiduă pentru o rebalansare biologică cât de cât acceptabilă. Producing goods to the extent that they address human needs is a concept that is very welcomed, and is progressive in its content. But when design is manipulation, and especially the solving tool of the competition, which I wouldn’t say that serves the consumer’s interest, leading to an overproduction crisis, it has deep ecological implications. Daily tons of millions of waste are produced, and unfortunately not all of them can be recycled, or if they can then hundreds of years are needed for their natural recycling. The planet is invaded by waste; the recycling issue has become a major science at the moment and especially for the future.
Stocking waste in nature happens on a worldwide industrial level which leads to catastrophic, irreparable damage. Our planet is going through never seen before crisis: global warming as a result of burning gas, which in addition to the rising of waters due to the ice melting bring major changes to the temperature of waters and air movement as a direct effect; in fact in the last years the movement of the air has known unusual intensity and frequencies in hurricanes, tornadoes, earthquakes and other cataclysmic events. More and more unique species of fauna and flora have disappeared or have become endangered species as a direct result of the process of pollution and overheating.
One of the first indications signaled on a global level, regarding the poisoning process of our planet as a result of misguided industrialization was in Japan, in 1953, when it was proven that the mercury spilled in the Minamata gulf had poisoned thousands of fishermen, causing genetic deformities in their children. Since then, these disasters have grown in number: the thermonuclear disaster in Pennsylvania, in 1982, let’s not forget Cernobal, in Ukraine, in 1986, thousands of people poisoned in Bhopal, India, in 1984 and by the chemical corporations in the USA, an accidental leakage of chemical toxins in the Rhine by a drug company in Switzerland, in 1986, which killed every living creature in the river that passed through Germany, France, Belgium and Holland.
