تهدف اللجنة إلى دعم المجلس فيما يخص شؤون وسياسات الترشيحات والتقييم والمكافآت والتدريب والحوكمة على مستوى المجلس ولجانه المتفرعة منه وموظفي الإدارة التنفيذية العليا للهيئة وفق للأنظمة والتعليمات المرعية، وما يكلفها به المجلس من مهام أخرى.
المادة الثالثة: تشكيل اللجنة
أ. هيكل اللجنة والتشكيل
1. يتم اعتماد تشكيل اللجنة وتعيين أعضائها وواجباتهم ومكافآتهم بقرار من المجلس. تتكون اللجنة من ثلاثة (3) أعضاء على الأقل ولا تتجاوز خمسة (5) أعضاء - جميعهم غير تنفيذيين وعلى الأقل عضو واحد من خارج الهيئة.
2. يشترط في عضو اللجنة ما يلي:
· ألا تكون له - عند تعيينه - مصلحة شخصية مباشرة أو غير مباشرة في أعمال وخدمات الهيئة.
· ألا يكون عضواً في مجلس إدارة أو لجنة أو إدارة تنفيذية في شركة لها تعامل جوهري مع الهيئة، ما لم يكن قرار التعامل نتج من مفاوضات مستقلة.
· ألا يكون قد سبق له العمل خلال السنتين المنصرمتين ضمن الإدارة التنفيذية العليا.
3. يعيّن المجلس رئيساً للجنة ضمن قرار تشكيلها، وفي حال لم يتم التعيين تختار اللجنة رئيسًا لها بأغلبية أصوات أعضاء اللجنة. في حال كون رئيس اللجنة ليس عضواً من أعضاء المجلس فيحق للمجلس دعوته لحضور اجتماعات المجلس عند مناقشة الموضوعات ذات الصلة باختصاصات اللجنة بما يتوافق مع الشروط والأحكام التي تنص عليها لائحة عمل مجلس الإدارة للهيئة بخصوص حضور من هم من غير أعضاء المجلس لاجتماعاته.
4. يمثل الرئيس اللجنة في اجتماعات المجلس والاجتماعات مع إدارة الهيئة والجهات الأخرى، ويقوم بدعوة اللجنة للاجتماع وتنظيم ورئاسة اجتماعات اللجنة وإدارتها وتحديد جدول الأعمال، والاطلاع على كافة المعلومات والوثائق اللازمة لتنفيذ مسؤولياتها، ومقابلة أي من موظفي الهيئة أو غيرهم عند الحاجة لذلك، ورفع نتائج أعمال اللجنة وتوصياتها وتقاريرها للمجلس، ويجوز للرئيس تكليف أحد الأعضاء للقيام ببعض هذه المهام أو جميعها. ويعين الرئيس من ينوب عنه في اجتماعات اللجنة عند غيابه.
ب. مدة عمل اللجنة
1. تكون مدة عمل اللجنة ثلاث (3) سنوات قابلة للتجديد.
2. تنتهي العضوية في اللجنة بقرار من المجلس أو بسبب الوفاة أو الاعتذار أو بأي من الحالات التالية:
• في حالة كان العضو عضواً في مجلس الإدارة: فإن عضويته تنتهي بانتهاء عضويته في المجلس
• في حال لم يكن عضواً في مجلس الإدارة: فإن عضويته تنتهي إما بالاعتذار أو بانتهاء مدة عمل اللجنة.
• إساءة إستخدام العضو لمنصبه في اللجنة.
• تغيب العضو عن اكثر من (3) ثلاثة اجتماعات متتالية دون عذر مقبول من الرئيس.
• فقد العضو أي من الشروط الواجب توفرها في عضو اللجنة.
• أي أسباب أخرى يراها المجلس.
3. في حال وجود مقعد شاغر في اللجنة خلال مدة عملها، لمجلس الإدارة تعيين عضو بديل يكمل فترة سلفه.
ج. أمانة اللجنة
يعين المجلس أميناً للّجنة بناء على ترشيح اللجنة، دون أن يكون للأمين حق التصويت في أعمال ومهام اللجنة، وتكون مسؤولياته ومهامه ما يلي:
• إعداد مسودة جدول أعمال اجتماعات اللجنة، ورفعه للرئيس لاعتماده.
• توجيه الدعوة لاجتماع اللجنة بناءً على طلب الرئيس.
• التنسيق مع أعضاء اللجنة فيما يخص أعمالها، بما في ذلك التنسيق بشأن إعداد جدول أعمال اجتماعات اللجنة.
• إعداد مسودة لمحضر إجتماعات اللجنة وفقاً لأحكام الفقرة (د) من المادة الرابعة من هذه اللائحة، وتدوّن تلك المحاضر في سجل خاص.
• الاحتفاظ بمحاضر اجتماعات اللجنة وعرضها على مجلس الإدارة من خلال رئيس اللجنة.
• إعداد المذكرات والتقارير ذات الصلة بأعمال اللجنة.
• تعميم قرارات اللجنة على الأطراف المعنية.
• التنسيق مع الإدارات المعنية بشأن قرارات اللجنة التي تتطلب الالتزام بالأنظمة واللوائح.
• وضع آلية لمتابعة ما تتوصل إليه اللجنة من قرارات، وموافاة اللجنة بحالة تنفيذ تلك القرارات.
• القيام بالإجراءات اللازمة لتسهيل قيام اللجنة بمهامها في متابعة تنفيذ قراراتها وتوصياتها المقرة من المجلس.
• عدم إفشاء أي من المعلومات السرية التي يطلع عليها والمتعلقة بعمل الهيئة ونشاطاتها وجميع مداولات اللجنة وقراراتها، إلا بالقدر اللازم لتنفيذها.
• القيام بأي من المهام أعلاه لأي من اللجان الفرعية التي تشكلها اللجنة لإنجاز مهام محددة.
• تنفيذ أي مهام أو مسؤوليات أخرى يكلفه بها رئيس اللجنة.
المادة الرابعة: اجتماعات اللجنة
أ. عقد الاجتماعات وعددها
· تنعقد اجتماعات اللجنة بشكل دوري في مقر الهيئة الرئيسي، وللرئيس أن يدعو لعقدها في أيّ مكان آخر يراه مناسباً، كلما دعت الحاجة إلى ذلك بحسب ما يقدره الرئيس.
• تنعقد اجتماعات اللجنة بناءً على دعوة كتابية من الرئيس، أو من أغلبية باقي الأعضاء -يوجهها أمين اللجنة- قبل موعد الاجتماع بخمسة (5) أيام على الأقل ما لم يقرر الرئيس أو من ينوب عنه عقد الاجتماع على نحو مستعجل وذلك في الحالات الطارئة، على أن تتضمن الدعوة جدول الأعمال.
• تعتمد اللجنة جدول أعمال اجتماعاتها قبل بداية كل عام.
ب. التصويت والنصاب القانوني
• يكون لكل عضو صوت واحد ويجوز للأعضاء الحاضرين التصويت على القرارات التي تُتخذ فيها عبر وسائل التقنية.
• لا يجوز لعضو اللجنة تفويض عضو آخر للتصويت نيابةً عنه عند غيابه عن أيّ اجتماع.
• يشترط لصحة الاجتماع حضور أغلبية الأعضاء، بمن فيهم الرئيس أو من ينيبه. ويكون العضو حاضراً للاجتماع إذا تواجد في المكان المحدد للاجتماع وأثبت حضوره في محضر الاجتماع أو شارك في مداولاته عبر وسائل التقنية، على أن يتم إثبات ذلك في محضر الاجتماع أيضاً، وإذا لم يتوفر النصاب اللازم لعقد الاجتماع خلال ساعة من الوقت المحدد لبداية الاجتماع، فيتم تأجيل الاجتماع لموعد آخر يحدده الرئيس.
• يجوز توقيع المحاضر بالتمرير شريطة موافقة جميع أعضاء اللجنة، وعرضها في أول اجتماع للجنة بعد ذلك.
ج. رئاسة وحضور الاجتماعات
• يتولى رئيس اللجنة رئاسة جميع الاجتماعات أو من ينوب عنه في حال غيابه.
• يجوز للأعضاء حضور اجتماعات اللجنة والتصويت على القرارات التي تُتخذ فيها عبر وسائل التقنية، مع ضرورة توثيق المحاضر المكتوبة الفعلية وفقاً للإجراء المعمول به، وعرضها على اللجنة خلال اجتماع اللجنة المقبل.
• للجنة دعوة من تراه من غير الأعضاء إلى حضور الاجتماع، دون أن يكون له حق التصويت، ودون أن يكون له حق الاطلاع على معلومات أو بيانات سرية إلا في حدود ما يحقق الغاية من حضوره.
د. محاضر الاجتماعات ومداولتها
1. مع مراعاة ما تقضي به الأنظمة، تكون مداولات اللجنة ومحاضرها سرية، ولا يجوز الإفصاح عنها إلا في حدود تنفيذ قراراتها أو بموافقة الرئيس.
2. تقرّ اللجنة بنود جدول أعمالها في بداية كل اجتماع.
3. يضبط أمين اللجنة مداولات وتفاصيل اجتماع اللجنة في محضر يوقع عليه الرئيس والأعضاء الحاضرون وأمين اللجنة بعد أخذ ملاحظات الأعضاء، وإذا تعذر ذلك، يتم توقيع المحضر في أقرب وقت بعد الاجتماع، على أن يشتمل المحضر على الآتي:
• تاريخ الاجتماع ورقمه.
• مكان انعقاد الاجتماع.
• أسماء الحضور من الأعضاء وصفة الحضور (شخصياً أو بواسطة وسائل التقنية).
• الموضوعات التي ناقشتها اللجنة.
• ملخص عن المداولات التي جرت بشأن كل موضوع وأي توجيهات تصدرها اللجنة بشأن أي موضوع عرض خلال الاجتماع.
• أرقام وموضوعات القرارات الصادرة في الاجتماع، مع إرفاق نسخ منها بالمحضر.
• نتائج التصويت على القرارات وأي تحفظات أو اعتراضات يبديها أي من الأعضاء تجاه أي من القرارات.
• أي بيانات أو معلومات أخرى توافق اللجنة على إضافتها خلال الاجتماع.
4. يرسل أمين اللجنة مسودة محضر الاجتماع إلى الأعضاء عبر البريد الإلكتروني أو أي وسيلة أخرى تقرها اللجنة خلال سبعة (7) أيام عمل من انتهاء الاجتماع. وللعضو مراجعة المحضر وإبداء ملاحظاته عليه خلال خمسة (5) أيام عمل، وذلك عبر البريد الإلكتروني أو أي وسيلة أخرى تقرها اللجنة.
5. تكون مداولات اللجنة باللغة العربية فيما عدا الحالات التي يجيز الرئيس المداولة فيها بلغة أخرى، على أن تدوَّن محاضر اجتماعات اللجنة وقراراتها باللغة العربية، ويجوز أن تترجم بلغة أخرى غير العربية، على أن تكون اللغة العربية هي المعتمدة في حال الاختلاف.
ه. قرارات اللجنة
• يشترط لصدور قرارات اللجنة خلال اجتماعاتها موافقة أغلبية الأعضاء الحاضرين، أو أغلبية الأعضاء في حالة التمرير، مالم تنص هذه القواعد على نصاب آخر. وإذا تساوت الأصوات يرجح الجانب الذي صوت معه الرئيس أو من ينيبه لرئاسة الاجتماع.
• لا يجوز لعضو اللجنة الامتناع عن التصويت -باستثناء الحالات الواردة في الفقرة (ج) من المادة الرابعة من هذه اللائحة- وللعضو المعترض تسجيل اعتراضه وأسباب الاعتراض ضمن محضر الاجتماع.
• لا يجوز لعضو اللجنة تفويض عضو آخر للتصويت نيابةً عنه عند غيابه عن أيّ اجتماع.
• تنظم وتوثق قرارات اللجنة التي تصدر خلال اجتماعاتها في وثيقة مكتوبة وفقاً لأحكام المادة الحادية عشر من هذه اللائحة، على أن تتضمن الإشارة إلى أسانيد القرار والوثائق والمستندات التي تم الاستناد إليها عند إصدار القرار.
المادة الخامسة: اختصاصات اللجنة ومهامها ومسؤولياتها
تختص لجنة الترشيحات والمكافآت بمسؤولية الترشيح والتقييم والمكافآت والتدريب والحوكمة بالإضافة إلى مسؤوليات أخرى متوافقة مع الأنظمة ذات العلاقة، وتقييم مدى كفاءتها في تحقيق أغراض وأهداف الهيئة، وتشمل اختصاصات ومهام اللجنة بصفة خاصه في ما يلي:
أ. مسؤولية الترشيح
1. رفع التوصية إلى المجلس بشأن شغل عضوية لجان المجلس المتفرعة منه لاتخاذ قرار بذلك.
2. ترشيح أو تقييم المرشحين لشغل مناصب الإدارة التنفيذية العليا بناءَ على طلب مجلس الإدارة أو المحافظ.
3. مراجعة ومتابعة تنفيذ خطط وسياسات للتعاقب الوظيفي لمناصب الإدارة التنفيذية العليا والصادرة من المحافظ، ومتابعة تنفيذها بشكل دوري.
ب. مسؤولية التقييم
1. التقييم المستمر لاستقلالية أعضاء لجان المجلس، والتأكد من عدم وجود أي حالة تعارض بين مصالحهم الشخصية ومصالح الهيئة.
2. إعداد معايير لتقييم أداء لجان المجلس وترفع هذه المعايير إلى المجلس لاعتمادها، وتقوم اللجنة بعمليات التقييم، أو الاشراف عليها إذا تمت من قبل طرف ثالث. كما تتولى اللجنة اقتراح آليات تطوير عمل لجان المجلس.
3. إعداد معايير تقييم أداء الإدارة التنفيذية العليا وإجراء التقييم السنوي لأداء الإدارة التنفيذية العليا والتوصية لرئيس المجلس باعتماده.
ج. مسؤولية المكافآت
1. رفع التوصية للمجلس بشأن مكافآت وبدلات أعضاء المجلس ولجانه. ويجب أن تقدم اللجنة للمجلس بشكل سنوي تقريرًا شاملًا لكل ما حصل عليه أعضاء المجلس ولجانه خلال السنة المالية من بدلات ومكافآت.
2. إعداد سياسة مكافآت وحوافز الإدارة التنفيذية العليا، على أن تكون المكافآت والحوافز مبنية على معايير تربط بأدائهم وفقًا لتقييمهم وأداء الهيئة بشكل عام، ويراعى في تلك السياسة تقديم مكافآت تنافسية لتيسير جذب واستقطاب الكفاءات، وترفعها اللجنة للمجلس لاعتمادها، وتقوم اللجنة بمراجعة هذه السياسة بشكل مستمر والتوصية للمجلس بشأن تعديلها.
3. رفع التوصية للمجلس بشأن المكافآت والحوافز التي تدفع للإدارة التنفيذية العليا لاعتمادها وتقديم تقرير سنوي للمجلس بكل ما حصل عليه موظفي الإدارة التنفيذية العليا خلال السنة المالية من مكافآت وحوافز.
4. إعداد سياسة مكافآت وحوافز موظفي الهيئة، وتبين هذه السياسة صلاحيات اعتماد المكافآت وصرفها، ويجب أن تكون الحوافز مبنية على معايير تربط بأداء الموظف وفقًا لتقييمه وأداء الهيئة بشكل عام، وترفعها اللجنة للمجلس لاعتمادها، وتقوم اللجنة بمراجعة هذه السياسة بشكل مستمر والتوصية للمجلس بشأن تعديلها.
د. مسؤولية التدريب
1. الإشراف على توفير برامج التعريف اللازمة عن أنشطة وعمليات ومهام الهيئة لأعضاء المجلس ولجانه والإدارة التنفيذية العليا.
2. الإشراف على توفير التدريب اللازم لأعضاء المجلس ولجانه والإدارة التنفيذية العليا لتعزيز مهاراتهم وقدراتهم وخبراتهم بما يخدم أهداف الهيئة ويتماشى مع أغراضها.
3. الحصول بصورة منتظمة على مرئيات مجلس الإدارة والمحافظ والإدارة التنفيذية العليا حول جودة التدريب وأي برامج أخرى.
ه. مسؤولية الحوكمة
1. مراقبة ممارسات الحوكمة في الهيئة وتحديد الثغرات فيها، وتزويد المجلس بتقرير سنوي عن مدى التزام الهيئة بها والإجراءات التصحيحية اللازمة.
2. مراجعة ممارسات الحوكمة في الهيئة بشكل مستمر وقياس مدى كفايتها، والتأكد من توافقها مع الممارسات الرائدة، والتوصية للمجلس بأي مقترحات أو تعديلات.
3. مراجعة إجراءات الهيئة في حالات تعارض المصالح على كافة المستويات، والتأكد من مدى فاعليتها في معالجة تلك الحالات، ورفع توصية للمجلس بإجراء التعديلات اللازمة.
4. مراجعة عمليات تفويض الصلاحيات والتأكد من سلامتها، ومدى الالتزام بحدود التفويض، والتوصية للمجلس بأي مقترحات أو تعديلات.
5. رفع اقتراح للمجلس بشأن تشكيل لجنة متفرعة عن اللجنة تتولى مسؤوليات الحوكمة متى ما دعت الحاجة.
و. مسؤوليات أخرى
1. مراجعة اللائحة المنظمة لشؤون موظفي الهيئة للتأكد من توافقها مع الأنظمة ذات العلاقة، وتقييم مدى كفاءتها في تحقيق أغراض وأهداف الهيئة.
2. مراجعة برامج وسياسات التوظيف والتطوير والتدريب والتقييم والترقية الخاصة بموظفي الهيئة والتأكد من توافقها مع استراتيجيات وأهداف الهيئة.
3. تأدية المهام والمسؤوليات الأخرى التي يكلفها بها المجلس من حين لآخر.
المادة السادسة: واجبات العضو ومسؤولياته
1. مراعاة أحكام الترتيبات التنظيمية وهذه اللائحة.
2. حضور اجتماعات اللجنة.
3. إخطار أمين اللجنة في حال غيابه أو تأخره عن حضور أي اجتماع من اجتماعات اللجنة.
4. تأدية عمله ومهامه وسائر مسؤولياته بموضوعية ونزاهة وأن تكون خدمة مصالح الهيئة هي أقصى أولوياته.
5. الإفصاح للجنة عن أي تعارض أو احتمال نشوء تعارض فيما بين مصالحه الشخصية ومصالح الهيئة فيما يخص الموضوعات المعروضة على اللجنة، سواءً كانت تلك المصالح مباشرة أو غير مباشرة، وإثبات ذلك الإفصاح في محضر اجتماع اللجنة أو بموجب إخطار كتابي يُسلم للرئيس، ولا يجوز للعضو ذي المصلحة الاشتراك في التصويت أو اتخاذ قرارات أو توصيات في هذا الشأن.
6. عدم إفشاء أي من المعلومات السرية التي يطلع عليها بسبب عضويته في اللجنة والمتعلقة بعمل الهيئة ونشاطاتها وجميع مداولات اللجنة وقراراتها، إلا بالقدر اللازم لتنفيذها أو بموافقة الرئيس.
المادة السابعة: صلاحيات رئيس اللجنة
1. رئاسة اجتماعات اللجنة والتأكد من وضع خطة عمل سنوية للّجنة للتأكد من إنجاز مهامها على الوجه المطلوب.
2. اعتماد جدول أعمال الاجتماع بعد التنسيق مع باقي أعضاء اللجنة، كما يقوم بإضافة أي بند متى ما طلب أحد أعضاء اللجنة ذلك.
3. رفع محاضر اجتماعات اللجنة للمجلس بعد كل اجتماع بالإضافة إلى نتائج أعمالها وقراراتها وتوصياتها وأية تقارير أخرى بخصوص المسائل المندرجة ضمن مهام اللجنة ومسؤولياتها.
4. متابعة تنفيذ القرارات والتوصيات المعتمدة ذات العلاقة بمهام اللجنة ومسؤولياتها، والرفع للمجلس بما يعيق تنفيذها.
المادة الثامنة: صلاحيات اللجنة
يكون للجنة في سبيل تحقيق أهدافها على وجه الخصوص ما يلي:
1. الاطلاع على كافة المعلومات والبيانات والتقارير والسجلات والوثائق والمراسلات المتصلة بالهيئة، وغير ذلك من الأمور التي ترى اللجنة أهمية الاطلاع عليها.
2. طلب أي إيضاح أو بيان من المحافظ أو أعضاء الإدارة التنفيذية العليا أو موظفي الهيئة أو غيرهم.
3. الاستعانة بالاستشاريين والمختصين -عند الحاجة- والتعاقد معهم والموافقة على أتعابهم، وذلك لتقديم المشورة فيما يتعلق بأعمال اللجنة، ولها إنهاء خدماتهم.
4. ما يمنحه المجلس لها من صلاحيات.
المادة التاسعة: رفع التقارير للمجلس وتنفيذ قرارات اللجنة
1. ترفع اللجنة للمجلس تقارير ربعية على الأقل بشأن ما قامت به اللجنة من أعمال وما اتخذته من قرارات وتوصيات.
2. يتولى المحافظ - أو من يكلفه - تنفيذ القرارات والتوجيهات والتوصيات التي تصدرها اللجنة بعد اعتمادها من المجلس، ما لم يسمِ قرار اللجنة شخصاً آخر من الأعضاء أو أي من موظفي الهيئة.
3. يرفع المحافظ - أو من يكلفه - إلى اللجنة تقارير دورية توضح حالة تنفيذ القرارات والتوجيهات الصادرة عنها وأي معوقات تواجه تنفيذها وذلك بحسب الآلية والمدد التي تقرها اللجنة، ويتولى أمين اللجنة تنظيم جداول تحدث باستمرار لبيان ما يحرز في تنفيذ قرارات اللجنة من تقدم.
4. يجب أن يحتوي تقرير مجلس الإدارة على معلومات وتوصيات لجنة الترشيحات والمكافآت، وتضمين توجيهات المجلس حيال عدم اتباع أي من هذه التوصيات.
المادة العاشرة: مراجعة اللائحة وتعديلها
تجري اللجنة مراجعة دورية لأحكام اللائحة لتحديد مدى الحاجة إلى تعديلها، ويجوز لأي من الأعضاء أو أمين اللجنة تقديم تعديلاتهم المقترحة وفق ما يرونه محققاً لفاعلية عمل اللجنة إلى الرئيس، الذي له أن يدرج مقترح التعديل على جدول أعمال اجتماع اللجنة التالي لمناقشته ومن ثم الرفع بذلك للمجلس لطلب التعديل.
المادة الحادية عشر: أحكام ختامية
تعتمد هذه اللائحة من قِبل المجلس، ويتم العمل بها من اليوم الذي يلي تاريخ اعتمادها

The Committee aims to support the Board in the affairs and policies of nomination, evaluation, remuneration, training, and governance at the Board level, its affiliated Committees, and the Senior Executive Management Employees of the Commission in accordance with applicable regulations and any other duties entrusted by the Board.
Article 3: Committee Formation
The formation and structure of the Committee
1. The formation of the Committee alongside the appointment of its members, their duties, and remunerations shall be approved by a resolution of the Board. The Committee consists of at least three (3) members and no more than five (5) members – all of those shall be non-executive members and at least one member from outside of the Commission.
2. The Member of Committee shall fulfill the following criteria:
- At the time of his appointment, shall not have direct or indirect personal involvement or interest in the works and services of the Commission.
- Shall not be a member of Board of Director, Committee, or an executive management in a corporate having essential treatment with the Commission, unless the decision to deal with such a person was resulted from an independent negotiations.
- Did not ever work within the Senior Executive Management for the past two years.
3. Within the formation resolution of the Committee, the Board shall appoint a Committee's Chairman. In case of non-appointment of a Chairman, the Committee shall choose its Chairman by majority vote of the members. In event that the Committee's Chairman was not a member of the Board, the Board shall has the right to invite him to attend the meetings of the Board when deliberating on issues that are relevant to the Committee competences in accordance with the terms and provisions provided for in the regulations of Board of Directors of the Commission in relation to the attendance of non-members of the Board to its meetings.
4. The Chairman shall represent the Committee in the Board meetings, the meetings with the Commission Management, and other entities. He shall also invite the Committee to convent and organize, chair the Committee meetings, determine the agenda, and review all information and documents required to carry out its responsibilities, in addition to conduct interviews with any employees of the Commission or any other employees when needed, besides reporting the outcomes of the Committee works, its recommendations to the Board. The Chairman may designate one member to carry out some of duties or all of them, and appoint a member acting on his behalf to attend the Committee meetings in his absence.
Committee Term
1. The term of the Committee shall be a renewable period of three (3) years.
2. The membership of a member shall be terminated upon a resolution of the Board or due to the death, an apology or any of the following cases:
- If the member is a member of Board of Directors, his membership shall be expired at the end of his membership in the Board.
- If the member is not a member of Board of Directors, his membership is terminated by an apology or at the end of the Committee term.
- If the member misused his position in the Committee.
- If the member failed to attend more than three (3) consecutive meetings without showing an acceptable reason to the Chairman.
- If the member could not meet any of the required conditions to the membership.
- For any other reason at the discretion of the Board.
3. In case of there is a vacant seat in the Committee during its term, the Board shall appoint a replacement member to complete the term of his predecessor.
Committee Secretariat
The Board shall appoint a Committee's Secretary based on the nomination of the Committee, without voting rights in the works and duties of the Committee, and his duties and responsibilities shall be as follows:
- Preparing the draft agenda for the Committee's meetings, and reporting such to the Chairman to approve thereof.
- Issuing invitations for Committee meetings at the request of the Chairman.
- Coordinating with the Committee's members with respect to its works, including the coordination to prepare the agenda of Committee's meetings.
- Preparing a draft to the minutes of the meetings in accordance with the provisions of the paragraph (D) of the article 4 of this Charter, such minutes shall be kept in a special register.
- Maintaining the minutes of the meetings and submitting such to the Board of Directors through the Committee's Chairman.
- Preparing the memos and reports relevant to the Committee's work.
- Circulation of the Committee's decisions on the concerned parties.
- Coordinating with concerned departments on the Committee's resolutions that require a full compliance of regulations.
- Developing a mechanism for following-up the findings of Committee's resolutions, and informing the Committees on the situation with regard to implementation of such resolutions
- Conducting the procedures necessary to facilitate the Committee's duties with respect to follow-up the implementation of its resolutions and its adopted recommendation by the Board.
- Not to disclose any confidential information that could be accessible by him, which are relating to the work and activities of the Commission besides all deliberations of the Committee and its resolutions except to the extent necessary to implement them
- Conducting any of the above duties for any subcommittees formed by the Committee to carry out specific duties.
- Conducting any duties or any other responsibilities designated by the Committee's Chairman.
Article 4: the Committee meetings
Holding the meetings and its numbers
- The Committee meetings shall be held periodically at the head office of the Commission, the Chairman may invite the members to convent at any other places as he deems appropriate when necessary at the discretion of the Chairman.
- The Committee meetings shall be convened based on a written invitation by the Chairman or the majority of members, such invitation shall be sent by the Committee's Secretary at least five (5) prior to the date of the meeting, unless the Chairman or who is acting in behalf of him, decides the meeting to be held on urgent basis in the cases of major emergency situations, provided that the invitation shall include the agenda.
- The Committee shall approve its agenda before the beginning of each year.
Voting and quorum
- Each Committee’s member shall have one vote, and the attending members may have the right to vote on the resolutions through the means of technology.
- A member shall not have the right to delegate other member to vote on his behalf in any meetings in case of his absence.
- For the validity of the meeting, the majority of the members shall be present, including the Chairman or who acting on his behalf, the member is considered a present if he appeared in the designated place of the meeting and registered his presence on the minute of the meeting or if he have participated in the deliberations through the means of technology, provided that such participation shall be registered in the minute of the meeting too. In case the quorum for the meeting is not completed within one hour of the specified time of the meeting, the meeting shall be adjourned to other date that is determined by the Chairman.
- The minutes may be signed by passing provided that the consent of all the committee's members is obtained, and then submitting such procedure to the first Committee's meeting.
Chairing and attending the meetings
- All the Committee meetings shall be headed by the Chairman or who may acting on his behalf.
- The Committee’s members may attend the meetings and voting on the resolutions through the means of technology, the written minutes shall be documented in accordance with the established procedures, and shall be also reported to the Committee within the next Committee's meeting.
- - The Committee may invite whom it deems appropriate to attend the meeting, without granting him a voting right, and without enabling him to access the information or the confidential date except to the extent of goal of his attendance.
Minutes of the meetings and deliberations
1. Without prejudice to the laws, the minutes and deliberations of the Committee shall be confidential, and they shall not be disclosed except in the limit of the implementation of its resolution or upon consent of the Chairman.
2. The Committee shall approve its agenda items at the beginning of every meeting.
3. The Committee's Secretary shall keep the deliberations and details of the Committee's meeting in minutes to be signed by the Chairman, the attending members and the Committee's Secretary after taking the members' comments, if this cannot be made, the minutes of the meeting shall be signed as soon as possible after the meeting, provided that the minutes shall include the following:
- The meeting date and number.
- The meeting location.
- Member names, and the method of attendance (in person or via the means of technology)
- Matters discussed by the Committee.
- The deliberations summary made over each matter or any instructions issued by the Committee over any matter that is raised during the meeting.
- The numbers and subjects of the Resolutions issued in the meeting, a copy thereof shall be attached to the minute.
- The results of voting on the resolutions and any reservations and rejections made by any member towards any resolution.
- Any data or other information that the Committee agreed to add thereof during the meeting.
4. The Committee's Secretary shall send a draft of the meeting's minutes to the member via email or any other means approved by the Committee within seven (7) working days of the meeting, a member may review the minutes and make a comments within five (5) working days through email or any other means approved by the Committee.
5. All the Committee's deliberation shall be written in Arabic language, except the cases that the Chairman allows other languages to be used, however; the minutes of the meeting and its resolutions shall be written in Arabic, they may be translated into other languages provided that the Arabic language shall be prevailed in case of disputes.
The Committee's Resolutions
- It is required for issuing a Committee's resolution during its meeting to obtain consent by the majority of its attending members, or the majority of members in case of passing the resolution, unless these rules states there is another quorum, in event of an equality of votes among the members, the Chairman side or who acting on his behalf shall have a casting vote.
- A member of Committee may not abstain from voting, except the cases provided for in the paragraph (c) of the article 4 of this Charter, the objecting member may record his rejection and reasons of rejection in the minutes of the meeting.
- A member in his absence to any meeting shall not delegate other member to vote on his behalf.
- The documentation and organizing the resolutions issued by the Committee during the Committee meeting shall be made in a written document in accordance with the provision of the article 11 of this Charter, provided that the grounds of the resolution and documents relied upon shall be indicated.
Article 5: the Committee competences, duties and responsibilities
The Nominations and Remuneration Committee shall has competence on the nomination, evaluation, remuneration, training, and governance in addition to further responsibilities consistent with the relevant regulations, and it shall evaluate their competencies in achieving the objectives and goals of the Commission, the competences and the duties of the Committee shall include in particular the following:
Nomination responsibilities
1. Submitting recommendations to the Board on the membership of Board's subcommittee for purpose of taking a decision about them.
2. Nominating or evaluating the candidate for occupying position within the Senior Executive Management at the request of Board of Director or the Governor.
3. Reviewing and following-up the implementation of the plans and polices for the positions succession of Senior Executive Management, issued by the Governor and follow-up implementing them periodically.
Evaluation responsibilities
1. The continuous evaluation for the independence of the Board's members, and to ensure that there is no conflict of interest between the members' personal interest and the Commission interest.
2. Preparing a criteria to evaluate the performance of the Board's Committees, such criteria shall be submitted to the Board to approve thereof, the Committee shall conduct the evaluation or overseeing thereof if it is carried out by a third party, in addition to the Committee formulates a suggestions for the mechanisms of the improvement of the Board's Committees.
3. Preparing evaluation standards of the performance of Senior Executive Management, and conducting the annual evaluation of the Senior Executive Management, and submitting the recommendations to the Chairman to approve thereof.
Remuneration responsibilities
1. Submitting recommendations to the Board with respect to the remunerations and allowances of the Board's members and its Committees, the Committee shall submit comprehensive annual report for all the allowances and remuneration received by the members during the fiscal year.
2. Preparing the policy of remunerations and allowances of the Senior Executive Management, provided that such remunerations and allowances are based on criteria relevant to their performance upon evaluation and the performance of the Commission in general. The above policy shall observe submitting a competitive remunerations to facilitate and attract the qualifications, as it shall be submitted to the Board to approve thereof. The Committee shall review these polices continually, and submit a recommendation to the Board to amend thereof.
3. Making a recommendation to the Board on the remunerations and allowances that paid to the Senior Executive Management to approve thereof and submitting the annual report to the Board that includes all the remunerations and allowances obtained by Senior Executive Management during the fiscal year.
4. Preparing the policy of remunerations and allowances of the Commission's employees, such policy demonstrates the power of approving the remuneration and paying thereof, the allowances shall be based on standards relevant to the performance of the employee upon his evaluation and the performance of the Commission in general. Such policy shall be submitted to the Board to approve thereof. The Committee shall review that policy and submit the recommendations to the Board to amend thereof.
Training responsibilities
1. Overseeing the availability of the introduction programs that identify the activities, processes and duties of the Commission to the members of the Commission, and its Committees and Senior Executive Management.
2. Overseeing the availability of the suitable training for the Board's members, its Committees and Senior Executive Management to promote their skills, abilities and experiences, in the best interest of the Commission's goals in accordance with its objectives.
3. Obtaining on regular basis to a visual display of the Board of Director, the Governor, the Senior Executive Management on the quality of the training and any other programs.
Governance responsibilities

Further responsibilities:
1. Reviewing the charter regulating the affairs of the Commission's staff, for ensuring they are compliable with the relevant regulations, and evaluating its competences in achieving the goals and objective of the Commission.
2. Reviewing the programs and polices of appointment; developments, training, evaluation, promotion relating to the Commission's staff and ensuring that such processes are compatible with the strategies and objective of the Commission.
3. Carrying out the duties and other responsibilities the Board designates from time to time.
Article 6: Member Duties & Responsibilities
The member shall observe the provisions of the regulatory arrangements and this Charter.
The member shall attend the meetings of the Committee.
Informing the Committee's Secretary in case of his absence or if he would delay in attending the Committee's meeting.
Conducting his work, duties, and other responsibilities in subjective manner and integrity and to makes the Commission interest his priority.
Informing the Committee of any conflict of interest or a potential conflict of interest between his interest and the Commission interest with respect to the subjects submitted to the Commission, whether such interests are direct or indirect. The member shall register that notification on the minutes of Committee's meeting or in accordance with a written notice served to the Chairman, and the member having an interest may not participate in voting or taking any decisions or recommendation in this matter.

Article 8: Powers of the Committee
In order to achieve its objectives, the Committee shall in particular be able to:
Access to all information, data, reports, records, documents and correspondence related to the Commission, and other matters which the Committee deems necessary to be viewed.
Request any clarification or statement from the Governor, the members of the Senior Executive Management or the Commission's employees or others.
Employ consultants and specialists - when necessary - and contract with them and approve their fees, in order to provide advice regarding the Committee works, and can terminate their services.
The powers that are granted to it by the Board.
Article 9: Reporting to the Board and implementing the Committee's decisions
The Committee shall submit to the Board at least quarterly reports on the works made and decisions taken by the Committee.
The Governor, or his deputy, shall carry out the decisions, directives and recommendations issued by the Committee after approving them by the Board, unless the Committee decision appoints another person of the members or anyone of the Commission employees.
The Governor – or his deputy - shall submit to the Committee periodic reports clarifying the implementation status of the decisions and directives issued by it and any impediments that prevent implementation, in accordance with the mechanism and periods decided by the Committee. The Committee secretary shall organize schedules that will be updated continually to reflect the progress made in the implementation of the Committee's decisions.
The Board of Directors' report shall contain information and recommendations of the Nominations and Remuneration Committee, and include the Board's instructions on not to follow any of these recommendations.
Article 10: Review and amend the Regulations
The Committee may periodically review the provisions of the Regulations to determine the need for amending them. Any member or the Committee Secretary may submit their proposed amendments as they see fit to the effectiveness of the Committee's work to the Chairman, who may include the amendment proposal on the agenda of the next Committee meeting to discuss it then report thereabout to the Board for requesting the amendment.
Article 11: Final Provisions
This Regulation shall be approved by the Board and shall be effective from the day following its approval date.

Roosevelt was trying to save capitalism from itself, and some of the capitalists were resisting. Knowing the right thing to do to enrich your nation and the world is hard enough. Bringing people with you to get it done is even harder.
The financial crisis that started in 2007 and exploded around the world in 2008 was a reminder of how fragile and reversible is the history of human progress. But it should also remind us that our future is in our own hands. We created this mess and we can get ourselves out of it.
To do so involves confronting a false economy of thought—namely, that our economic future is predestined and that we are helplessly borne along by huge, uncontrollable, impersonal forces. To explain the vast complexity of the economic history of the world, there is a rich variety of fatalistic myths on hand: that some economies (the United States, Western Europe) were always going to get rich and that others (Africa) were always going to stay poor; that certain religions are intrinsically bad for growth; that market forces are unstoppable; that the strutting van¬guard of globalization cannot be routed and driven into retreat.
The aim of this book is to explain how and why countries and so¬cieties and economies got to where they are today—what made cities the way they are; why corruption destroyed some nations but not others; why the economy that fed the Roman empire is now the world s biggest importer of grain. But it will reject the idea that the present state of those economies, countries, and continents was predetermined. Coun¬tries have choices, and those choices have substantially determined whether they succeeded or failed.
Economic history is a challenging thing to explain, and to read, for two reasons. First, it involves forcing together disciplines that naturally fall out in different directions. History, in its most traditional form, lives on specifics and particularities—what the historian Arnold Toynbee (disapprovingly) called the study of “one damned thing after another.” It stresses the importance of narrative in the way that countries develop, the role played by chance and circumstance, and the influence of im¬portant characters and events. Economics, by contrast, seeks to extract universal rules from the mess of data that the world provides—providing reliable and testable predictions that economies run in a particular fash¬ion, or that starting off from a particular point, they will end up a par¬ticular way Both approaches have risks. If history can become the undisciplined accumulation of a random heap of facts, economics risks descending into the pseudoscientific compression of a complex reality into a simplistic set of fixed categorical molds.
Second, economic history is vulnerable to fatalism. Any study that takes as its endpoint the present day is always vulnerable to arguing backward from the conclusion. History is so rich in scope and detail that it is always possible to pick a particular constellation out of the galaxy of facts to explain clearly and precisely why things are as they are. The governing body shall ensure compliance with the statutes, ordinances and provisions regulating the College and its framework of governance and, subject to these, it shall take all final decisions on matters of fundamental concern to the College. Suggestions, proposals, and recommendations of the Council shall be submitted to the concerned authority in the University.
Organization I. Membership
The College Council shall consist of the Dean, Vice Deans, and Department Chairmen.
Based on a suggestion by the College Council, supported by the Rector, the University Council may add to the membership three Faculty members from the College and determine their ToO.
The Dean may invite non-voting persons/students to attend Council meetings and participate in discussions without voting privileges.
II. Structure
The Dean of the College shall serve as Chair of the Council. The Dean or the Dean‟s designated representative shall preside, and one of the Vice Deans shall serve as the secretary of the Council.
Power and Tasks
A. Authority
Taking in consideration, the Statute of the Council of Higher Education and Universities in the Kingdom of Saudi Arabia and others, as well as the decisions of the Council of Higher Education or the University Council, the College Council shall have jurisdiction over the affairs of the college. Specifically the Council is vested with authority to:
Proposes the appointment of Faculty members, graduate students, and lecturers and propose their secondment, delegation, and promotion
. 2. Proposes degree plans, or their amendment and curricula in coordination
with academic departments
. 3. Encourages conducting academic research, coordinate research activities between the departments of the College, and undertake its publication
. 4. Proposes the internal code for the College.
5. Proposes plans for training and sponsored study by College personnel at other institutions.
6. Proposes the extracurricular activities plan for the College.
7. Resolves issues related to students that are within its jurisdiction, and forward others to the University Council.
8. Considers matters forwarded by the University Council, its Chairman or deputy Chairman and provide its opinion.
9. Reviews and revises as necessary the College mission statement and philosophy and is responsible for college wide implementation. The Council may assign an Ad hoc committee to do so.
10. Reviews and revises as necessary the College Bylaws, policies and procedures and is responsible for college wide implementation. The Council may assign an Ad hoc committee to do so.
11. Recommends annual and multi-year college goals and objectives and leads in their implementation.
12. Recommends the establishment, merger, consolidation or abolition of a department/unit.
13. Recommends, forms, and/or approves as needed, standing or Ad hoc Committees from within or outside its membership to accomplish specific tasks or objectives; review and monitor their work to ensure their effectiveness, and decides the continuation or dissolution of existing committees.
14. Reviews requests and proposals from college committees for final recommendation to the Council Chair. Recommendations made by committees to College Council will be upheld or a written response will be provided stating the reason(s) why the recommendation was not approved. 15. Approves granting a part-time Faculty an Honorary Titles, and its renewal, upon recommendation of the Department Council and the College Committee for Granting Honorary Titles.
16. Authorizes to the Dean of the College some of his powers during the summer holiday period provided that the Council shall review all Decisions and recommendations taken during this period in its first meeting after the leave

As a type test
PD Testing can be used to test new components for the unintended production of discharges. Design flaws in the insulation system may produce discharges and these can be eliminated with re-design of the offending components.
Where discharges are expected as a result of the design, the resilience of the insulation system can be tested through accelerated ageing testing
As with manufacturing tests (see below), the test environment can be carefully controlled such that the sensitivity of the tests can be maximised.
As a manufacturing test
PD testing is useful for detecting insulation defects that are produced in the manufacturing process. The PD Measurement can normally be performed in a controlled electromagnetic environment which means that very sensitive measurements can be performed. This high sensitivity is required when the time-to fail is short for even small discharge levels which may be due to the insulating material intolerance and/or the high energy of the discharges due to the high field strengths.
Manufactured components can be tested (eg cables on drums) or complete systems eg transformers. A power supply is required to energise the system and variation of the test voltage (frequency/voltage) can be useful to detect defects that do not produce discharges at normal operating voltages but may develop over time.
Defects are most commonly introduced at production (and installation) and therefore these tests early in the lifecycle of a product are most useful. In addition any defect can be remedied prior to delivery or acceptance of the system by the customer.
As an installation/commissioning test
PD testing is also very useful as an installation test to test for any defects that may be introduced by the handling of the material or the re-work of any material for insulation. Typically cable joints and terminations are installed on site and PD testing is useful to detect any flaws that are introduced by the assembly of the joints and cannot have been previously detected.
Often these tests are performed offline which has the benefit of graceful failure in the case of a fault and the power supplies used may have variable output voltages allowing for tests higher than the operating voltage with benefits as previously described.
The environment in which the test object is situated is not easily controlled therefore the sensitivity of field measurements is often not comparable with that obtained in factory/laboratory testing. Claims that these sensitivity levels can be achieved should be questioned and treated with caution.

In nearly 30 years of covering United States foreign policy, I’ve never seen a president give up so much to so many for so little, starting with China and Israel. In both the Middle Kingdom and in the Land of Israel, Christmas came early this year. The Chinese and the Jews are both whispering to their kids: “There really is a Santa Claus.”
And his name is Donald Trump.
Who can blame them? Let’s start with Israel, every Israeli government since its founding has craved United States recognition of Jerusalem as its capital. And every United States government has refrained from doing that, arguing that such a recognition should come only in the wake of an agreed final status peace accord between Israelis and Palestinians — until now.
Today, Trump just gave it away — for free. Such a deal! Why in the world would you just give this away for free and not even use it as a lever to advance the prospect of an Israeli-Palestinian deal?
Trump could have said two things to Israeli Prime Minister Benjamin Netanyahu. First, he could have said: “Bibi, you keep asking me to declare Jerusalem as Israel’s capital. O.K., I will do that. But I want a deal. Here’s what I want from you in return: You will declare an end to all Israeli settlement building in the West Bank, outside of the existing settlement bloc that everyone expects to be part of Israel in any two-state solution.”
Such a trade-off is needed. It would produce a real advance for United States interests and for the peace process. As Dennis Ross, the veteran American Middle East peace negotiator and author of “Doomed to Succeed: The U.S.-Israeli Relationship From Truman to Obama,” explained: “When you stop building outside the settlement blocs, you preserve, at a maximum, the possibility of a two-state outcome and, at a minimum, the ability for Israelis to separate from Palestinians. Keep up the building in densely populated Palestinian areas and separation becomes impossible.”
Trump also could have said, as the former United States ambassador to Israel Martin Indyk suggested, that he’d decided “to begin the process of moving the embassy to western Jerusalem, but at the same time was declaring his willingness to make a parallel announcement that he would establish an embassy to the state of Palestine in East Jerusalem” — as part of any final status agreement. That would at least have insulated us from looking like we made a one-sided gesture that will only complicate peacemaking and kept the door open to Palestinians.
In either case, Trump could then have boasted to Israelis and Palestinians that he got them each something that Barack Obama never did — something that advanced the peace process and United States credibility and did not embarrass our Arab allies. But Trump is a chump. And he is a chump because he is ignorant and thinks the world started the day he was elected, and so he is easily gamed.
Just ask the Chinese. Basically, his first day in office, Trump tore up the 12-nation Trans-Pacific Partnership (TPP) free-trade deal — clearly without having read it or asked China for any trade concession in return. Trump simply threw out the window the single most valuable tool America had for shaping the geoeconomic future of the region our way and for pressuring China to open its markets to more United States goods.
Trump is now trying to negotiate trade openings with China alone — bilaterally — and getting basically nowhere. And yet he could have been negotiating with China as the head of a 12-nation TPP trading bloc that was based on United States values and interests and that controlled 40 percent of the global economy. Think of the leverage we lost.
In a column from Hong Kong last June a senior Hong Kong official told me: “When Trump did away with TPP, all your allies’ confidence in the U.S. collapsed.” After America stopped TPP, “everyone is now looking to China,” added Jonathan Koon-shum Choi, chairman of the Chinese General Chamber of Commerce, Hong Kong. “But China is very smart — just keeping its mouth shut.”
Just to remind: TPP was a free-trade agreement that the Obama team forged with Australia, Brunei, Canada, Chile, Japan, Malaysia, Mexico, New Zealand, Peru, Singapore and Vietnam. It was not only the largest free-trade agreement in history, it was the best ever for United States workers, closing loopholes Nafta had left open. Some 80 percent of the goods from our 11 TPP partners were coming into the United States duty-free already, while our goods and services were still being hit with thousands of tariffs in their countries — which TPP eliminated.
As I also noted last June, the other people we disappointed by scrapping TPP, explained James McGregor, author of “One Billion Customers: Lessons From the Front Lines of Doing Business in China,” were China’s economic reformers: They were hoping that the emergence of TPP “would force China to reform its trade practices more along American lines and to open its markets. … We failed the reformers in China.”
Trump is susceptible to such giveaways, not only because he is ignorant, but because he does not see himself as the president of the United States. He sees himself as the president of his base. And because that’s the only support he has left, he feels the need to keep feeding his base by fulfilling crude, ill-conceived promises he threw out to them during the campaign. Today, again, he put another one of those promises ahead of United States’ national interest.

بعد الاطلاع على الأوراق وسماع المرافعة والمداولة قانوناً :
تجد المحكمة أن وقائع الدعوى تتخلص في أن المدعية كانت قد أقامتها بموجب لائحة قيدت في 2/1/2013، مسدد عنها الرسم القانوني المقرر، طالبة بخاتمها وبضفة مستعجلة إيقاع الحجز التحفظي على حسابات المدعى عليها لدى البنوك العاملة في مملكة البحرين بحدود المطالبة، وفي الموضوع الحكم بالزام المدعى عيلها بسداد مبلغ 510/ 163976 دينار مع الفائدة القانونية بواقع 13% من تاريخ الاستحقاق في مارس وحتى السداد التام مع النفاذ المعجل مع الزامها بالرسوم والمصروفات وأتعاب المحاماة.
وقد أسست المدعية دعواها على سند من القول أنها شركة قائمة ومقرها الرئيسي في ولاية جورجيا وتعمل بمجال إعداد وتصميم وبناء وتجهيز الوحدات السكنية وقد طلبت المدعى عليها من المدعية الدخول معها بشراكة لتنفيذ مشروع تعاقدت عليه من المدعي عليها لبناء 25000 فيلا مع حكومة البحرين على أن تقوم المدعية بتصميم فيلا سكنية وتجهيزها وبناءها ومن ثم الدخول مع المدعى عليها وتأسيس شركة لتلك الغاية وتم توقيع اتفاق بين الطرفين للغاية المشار إليها أعلاه حيث شرعت المدعية ببناء الفيلا على أرض الواقع بمنطقة الرفاع الشرقي وبعد أن أكملت المدعية بناء الفيلا فشلت المدعى عليها في سداد مستحقات المدعية البالغة 510/ 153976 دينار إضافة إلى مبلغ 1000 دينار مصروفات تكبدتها الشركة المدعية وتم إخطار المدعى عليها مراراً وتكراراً إلا أنها فشلت في سداد المبلغ، الأمر الذي حد بالمدعية لإقامة دعواها الماثلة.
وأرفقت المدعية بلائحة دعواها حافظة مستندات تضمنت على أصول لبعض المستندات.
ولدى نظر المحكمة الدعوى على النحو الثابت في بمحاضر الجلسات فيها حضرت وكيلة المدعية المنابة وحضرت وكيلة المدعى عليها المنابة وتقدمت بمذكرة بردها انتهت فيها بجحدها الصور الضوئية المقدمة من المدعية وأنكرت المدعى عليها ختمها وتوقيعها على أصول الأوراق العرفية المقدمة من المدعية وبالنتيجة طلبت المدعى عليها رفض الدعوى وتبادل الأطراف المذكرات فيما بينهم وبجلسة 29/4/2014 حكمت المحكمة وقبل الفصل في موضوع الدعوى بإلزام المدعى عليها بأن تقدم أصل الاتفاق المحرر بينها وبين المدعية والمؤرخ في 19/10/2011 إلا أن وكيل المدعى عليها قرر بعدم وجود أصل للمستند المطلوب ايداعه والمشار إليه بالحكم المشار إليه أعلاه، وطالب المدعية بتقديم أصل ذلك المستند لمباشرة الطعن عليه بالتزوير كما وقررت الحاضرة عن المدعية بعدم وجود اصل ذلك العقد وتبادل الأطراف المذكرات فيما بينهم وبجلسة 30/11/2014 حكمت المحكمة بالرجوع عن القرار المتخذ بجلسة 29/9/2014 وبندب خبير محاسبي لبيان طبيعة العلاقة بين الطرفين وتحديد ما هيتها وبيان التزامات كل طرف وفيما إذا تم تنفيذ هذه الالتزامات من عدمه وفي الحالة الثانية بيان المتخلف عن تنفيذ التزاماته والنتيجة تصفية الحسابات بين الطرفين حيث ورد التقرير بجلسة 4/3/2015 وتقدمت الحاضرة عن المدعية بلائحة تعديل طلبات مقيدة بتاريخ 4/5/2015. ولدى استعلام المحكمة من المدعى عليها عما الت إليها الشكوى الجنائية رقم.......، حيث أفاد الحاضر عن المدعى عليها بأن الدعوى لم تنتهي وطلب التصريح بنسخة من محاضر الدعوى لتقديمها للنيابة العامة لمباشرة الطعن بالتزوير وفي جلسة لاحقة أفاد الحاضر عن المدعى عليها بأنه تم حفظ الشكوى الجنائية. وأضاف الحاضر عن المدعية بفشل المدعى عليها اثبات التزوير والتمس الحكم لموكلته بطلباتها الواردة بلائحة الدعوى في حين تمسك الحاضر عن المدعى عليها بطلب مباشرة الطعن بالتزوير حيث أمهلته المحكمة لهذه الغاية وبجلسة 28/7/2017 حكمت المحكمة بإعادة المأمورية لذات الخبير لبحث اعتراضات المدعى عليها حيث ورد التقرير التكميلي وتقدم الطرفان بردهما على التقرير وطلبت الحاضرة عن المدعى عليها حجز الدعوى للحكم.
قررت المحكمة حجز الدعوى للحكم بجلسة اليوم.
وعن موضوع الدعوى وحيث أنه من المقرر قانوناً بنص المادة الأولى من قانون الاثبات أنه (على الدائن إثبات الالتزام وعلى المدين إثبات التخلص منه)، كما وأنه ومن المستقر عليه باجتهاد محكمة التميز من أن لمحكمة الموضوع السلطة التامة في فهم وقائع الدعوى وتقدير قيمة ما يقدم إليها من أدلة واستخلاص ما تراه متفقاً والحقيقة بشرط أن يكون استخلاصا سائغاً ولها سلطة تقدير الأدلة في الدعوى ومنها القرائن والمستندات وحيث أن الخبرة عنصر من عناصر الاثبات ودليل مطروح على المحكمة وتعتبر من بيانات الدعوى وانها وما تضمنته من أعمال الخبير تخضع لتقدير المحكمة التي لها في سبيل ذلك الأخذ بما جاء به الخبير والأخذ به متى اقتنعت به وبالتالي الارتكان إليه في إصدار المحكمة لحكمها وحيث أنه من الثابت من خلال اجتماع الخبير بالحاضر مع المدعى عليها بحسب ما هو ثابت في الصفحة 40 من التقرير الأصلي بوجود علاقة ما بين المدعى عليها والمدعية في حين أنه لم يسبق للمدعى عليها أن تطرق لهذه العلاقة نهائيا من خلال كافة المذكرات المقدمة منها للمحكمة وذلك قبل الاجتماع مع الخبير والذي أقر الحاضر عن المدعي عليها بوجود علاقة مع المدعية إلا أنه أنكر جزئية ادعاء المدعية باتفاقها مع المدعى عليها على تعويض المدعية عن كل مصروفاتها في حال عدم الحصول على عقود من وزارة الإسكان كما وأقرت صاحبة المدعى عليها ومن خلال اجتماعها بالخبير بحسب الثابت على الصفحة 43 من التقرير الأصلي باتفاقية المدعي عليها مع المدعية بعد البدء بأعمال البناء بخصوص تأسيس شركة الجونيت فنجرز وأضافت صاحبة المدعى عليها وعلى الصفحة 44 من التقرير من أن المدعى عليها وافقت على المضي بالبناء على الرغم من عدم تغيير نوعية الخشب وذلك بغرض الإسراع في البناء عله يحوز موافقة وزارة الإسكان وحيث أنه من الثابت من خلال تقرير الخبير وما تضمنه من محاضر اجتماعات ومن خلال الإجراءات التي قام بها الخبير كمعاينة الموقع برفقة طرفي الدعوى ببناء المدعية ببناء فيلا على الأرض المقدمة من المدعى عليها وعليه ودون البحث بإنكار المدعى عليها المستند الدال على الزامها بتعويض المدعية بما أدته في سبيل إقامة البناء وحيث أن المدعى عليها وبمذكرتها الأخيرة المقدمة منها بجلسة 3/
1/2018 قد قررت أن المدعى عليها كانت تسعى لمساعدة المدعية في الحصول على عقد مع وزارة الإسكان وأنه في حال عدم تحقق ذلك تبادر المدعية بتفكيك البيت النموذج واعادته إلى حيث أتت به، ومن هنا تجد المحكمة أن المدعى عليها وبما قررته على النحو السابق بيانه فتكون قد نقلت عبء اثبات ما تدعيه عليها إذ من المفترض أن تثبت المدعى عليها صحة ذلك الاتفاق والذي جوهره هو أن تقوم المدعية وفي حال عدم موافقة وزارة الإسكان على التعاقد معها أن تقوم بتفكيك البيت النموذج والمقام على أرض المدعى عليها وحيث أن المحكمة لا تتدخل ببيانات الخصوم ولا نستطيع توجيه خصم لإجراء معين فيكون دفاع المدعى عليها والحال كذلك مجرد أقوال مرسلة لم تقدم البينة على صحتها في حين لو أثبتت المدعى عليها ذلك الدفاع ما ترتب عليها أي مسئولية تجاه المدعية فيما يتعلق بنفقات إقامة البناء وبعكس ذلك يترتب عليه إعمال القواعد العامة إذ لا يمكن للشخص إثراء نفسه على حساب الغير من دون سبب فقد نصت المادة 182 من القانون المدني على أنه (كل شخص ولو غير مميز يثري بلا سبب مشروع على حساب شخص آخر يلتزم في حدود ما أثرى به بتعويض هذا الشخص الآخر عما لحقه من ضرر ويبقى هذا الالتزام قائما ولو زال الاثراء فيما بعد) وحيث أن الخبير قد اتبع الإجراءات الواجب اتباعها وحيث أنه قد أعد تقرير على أسس واضحة مما تعتبر المحكمة أن التقرير قد جاء موافياً للغاية التي من أجلها تم وبالتالي فإن المحكمة تعتمد التقرير وتأخذ به وتعتبره من عداد بيانات الدعوى ومن ثم تقضي المحكمة بإلزام المدعى عليها بما انتهى إليه الخبير مبلغ570 /198149 دينار.
وعن الفائدة فتقضي المحكمة بها بواقع 2% من تاريخ إقامة الدعوى وحتى السداد التام.
وعن أتعاب الخبير فترى المحكمة أن مبلغ 1500 دينار يتناسب مع الجهد المبذول من الخبير لإعداده تقريره الأصلي والتكميلي أي بإضافة مبلغ 1000 دينار على مبلغ الأمانة المصروف للخبير.
وعن مصروفات الدعوى فتلزمها المحكمة للمدعى عليها عملاً بالمادة 192 من قانون المرافعات المدنية والتجارية.
فلهذه الأسباب
حكمت المحكمة بإلزام المدعى عليها يأن تؤدي للمدعية مبلغ570 /1981,49 دينار مع الفائدة القانونية بواقع 2% من تاريخ إقامة الدعوى وحتى السداد التام مع تضمين المدعى عليها بمصروفات الدعوى شاملة أتعاب الخبير البالغة 1500 دينار ومبلغ عشرون دينار أتعاب محاماه.

Having taken cognizance of the papers, heard the pleading and after legal deliberation:
The court found that the facts of the lawsuit can be summarized that the Plaintiff company has filed the lawsuit by virtue of a statement of claim on 2/1/2013; for which the Plaintiff had paid the required court fees. At the conclusion of the statement, the Plaintiff requested the court, on an urgent basis, to impose precautionary attachment on the defendant's bank accounts to the extent of the amount of the claim in all banks operating in the Kingdom of Bahrain, and in the subject matter; the Plaintiff requested the court to obligate the Defendant to pay the amount of 163976/510 dinars with the commercial interest of 13% as of the date of the maturity date on March 2012 until the full payment with the immediate self-execution, along with ordering the Defendant to pay court fees, judicial charges and attorney's fees.
The Plaintiff company established its claim on the ground that it is an incorporated company and its head office is located in the state of Georgia. In addition, the company is working in the field of setting up, designing, building and preparing the housing units, and the Defendant requested the Plaintiff to enter into a partnership with it for the implementation of the project which the Defendant has contracted with the government of Bahrain to build 25000 villas, provided that the Plaintiff shall set up a model design for one villa and prepare and build such villa, then it will enter into an agreement with the Defendant to establish a company for that purpose. The agreement was signed between both parties to the litigation for the objective referred to above, as the Plaintiff had embarked on setting up the design agreed upon, and after the Defendant agreed on the design, the Plaintiff started building the villa on the ground on the East Riffa region. However, after the Plaintiff had completed the construction of the villa, the Defendant failed to pay the amount due to the Plaintiff estimated at 153976/510 dinars in addition to 10000/- dinars as expenses incurred by the plaintiff, while it had notified the Defendant to pay such amount of money time after time, but the Defendant failed to pay the amount due, which prompted the Defendant to raise the present claim.
The Defendant attached to its statement of claim, a docket included the originals for some documents.
When the court considered the lawsuit, as established in the transcripts of the hearings, wherein the Plaintiff appeared through its attorney, while the Defendant appeared through its attorney who submitted a statement of reply, who concluded it with the denial of the photocopies that submitted by the Plaintiff, and the defendant's attorney denied also the validity of his client's signature and seal on the originals of the informal papers that have been submitted by the Plaintiff, as a result, he requested the court to dismiss the lawsuit. Subsequently. The both parties to the litigation exchanged their supporting documents.
At the hearing of 29/4/2014, the court decided, before adjudicating the subject matter of the lawsuit, to obligate the Defendant to submit the original of the agreement signed between it and the Plaintiff that dated 19/10/2011, but the defendant's attorney said that there is no original for the document required to be deposited, which referred to the judgment referred to above, the Defendant's attorney asked the court to order the Defendant to bring the original of this document to challenge the authenticity of such. Since the representative attending on behalf of the Plaintiff had decided that she has no original for this agreement, and both parties exchanged the supporting documents, the court decided at the hearing of 30/11/2014, to reverse its ruling taken at the hearing of 29/9/2014, and to assign an accountant expert to describe the nature of the relation between both parties and to identify the kind of relation between them, and to clarify the obligations of each party, whether such obligations were honoured or not, if such obligations had not been met, who failed to honour his obligations, which led to end the business relation between them as per the report received at the hearing of 4/3/2015. The representative present on behalf of the Plaintiff submitted an amended statement to the requests registered on 4/5/2015. When the court asked the Defendant about the outcome of the criminal compliant No. 8721/2014, the representative present on behalf the Defendant said that the claim is still underway, and he requested authorization for a copy of the transcript of the hearings to submit thereof to the Public Prosecution to challenge for forgery, at a subsequent hearing the representative present on behalf of the Defendant stated that the criminal complaint has been discounted, but the representative present on behalf of the Plaintiff stated that the Defendant failed to provide the proof of forgery, and he requested the court to render a judgment for her client on his requests contained in the statement of the claim, while the representative present on behalf of the Defendant insisted on his request to proceed with challenging for forgery which the court has given him a time limit for this purpose.
At the hearing of 28/2/2017, the court decided to return the matter to the same expert to look into the objections of the Defendant as the complementary report has been received and both parties have answered what stated therein. The representative present on behalf of the Defendant requested to set the date for adjudication. And,
The court decided to set the date for adjudication at today's hearing.
As for the subject matter of the claim, since it is established as per the provision of the article No. one of the Law of Evidence that " The creditor shall prove the existence of liability while the debtor shall disprove liability thereof", and it is established as per the jurisprudence of the Court of Cassation that the Court of Merits has the absolute authority to understand the fact in the claim, and to estimate a value to what submitted thereto of evidence, and to derive from them whatever is consistent with the truth, provided that to base its judgment on reasonable grounds sufficient to justify the same, as well as it has the authority to estimate the evidence in the claim including presumptions and documents, and whereas the expertise is of a piece of evidence and a proof raised before the court, along with it is a part of the information and all the expert's work is subject to the assessment of the court, and the court, to this end may rely on what stated in the expert's report whenever such was convinced to the court. Therefore, the court may rely on the expert's report when it renders its judgment, and whereas it is established through the expert's meeting with the representative present on behalf of the Defendant that there was a relation between the Plaintiff and the Defendant according to what established in the page No. 40, while the Defendant has never referred to such a relation before, especially in all his supporting documents presented to the court. The representative present on behalf of the Defendant informed the expert before their meeting that he declares that there was a relation with the plaintiff, but he denied the plaintiff's claim that his client agreed with the Plaintiff to compensate him for all expenses, if he failed to obtain contracts from the Ministry of Housing. The representative present on behalf of the Defendant acknowledged during her meeting with the expert, according to what established in page No. 43 of the original report, that the Defendant agreed with the Plaintiff to establish " Junit Fingers Company" after the beginning of the construction works. She also added that as per the page No. 44 of the report that the Plaintiff agreed to move forward in the construction works, despite the type of wood remain unchanged, for the purpose of accelerating the construction works, so that it might obtain the consent of the Ministry of Housing. And whereas it is established from the expert's report and its meeting minutes, and through the procedures made by the expert such as inspecting the site of the work with both parties of the litigation; that the Plaintiff has built a villa on the plot of land presented by the defendant. Therefore, without searching, as the Defendant denied that there is a document indicates to compensate the Plaintiff for what it incurred in building, and whereas the Defendant has acknowledged in the last memorandum submitted at the hearing of 3/1/2018 that it was seeking to help the Plaintiff to obtain a contract from the Ministry of Housing. In case such contact is not obtained, the Plaintiff shall dismantle the model and return it to its place. From this point the court, according to what the Defendant acknowledged earlier, finds that the Defendant has shifted the burden of proof of what it claims on its shoulders, because it is supposedly that the Defendant shall prove the validity of such agreement which its essence is based on if the Ministry of Housing does not agree to enter into a contract with the plaintiff, it shall dismantle the model home, where it built on the plot of land owned by the defendant, and whereas the court does not interfere in the statements of the litigants, and it cannot direct any of them to take a specific action, so the defendant's defense is just hearsay evidence and it does not submit the proper proof that prove their validity, while if the defendant's defense proved this defense, it would not have been held any responsibility for the Plaintiff with respect to the expenses of the building, in contrary to this, the general rules shall be applied, as no one can enrich himself at the expense of someone else without any cause. According to the provision of the article No. 182 of Civil Code that stipulated that (A person, even one lacking discretion, who without just cause enriches himself to the detriment of another person, is liable, to the extent of his profit, to compensate such other person for the loss sustained by him. This obligation remains, even if the profit has disappeared at a later date.), and whereas the expert has followed the procedures that should be followed, and prepared his report based on clear grounds, which make the court considers that what he stated therein is sufficient for the purpose that he was assigned to carry out. The court therefore relies on the report and adopt it and consider it one of the statements of the lawsuit. Accordingly, the court decided to obligate the Defendant of what the expert concluded, that is the amount of 198149/570 dinars.
With respect to the interest's request, the court adjudicated that it should be 2% as of the date of the claim until the full payment.
With respect to the expert's charges, in the view of the court, the amount of 1500/- dinars commensurate with the effort exerted from the expert to prepare his original and supplementary report, an increase of 1000 dinars compared to the amount that has been deposited in trust and paid to the expert.
With respect to the judicial charges, the court obligated the Defendant to pay them pursuant to the article No. 192 of Bahrainis Civil and Commercial Procedures Code.
For the above reasons
The court decided to obligate the Defendant to pay an amount of 198,149/570 dinars to the plaintiff, with the legal interest of 2% as of filing date until the full payment, in addition to all the expenses relating to the lawsuit including the expert's charges amounting 1500/- dinars and an amount of 20 dinars for the attorney's fees.
