Subject to satisfaction of the Conditions Precenect, in consideration of the Total Charges agreed to be paid by the Tenant and the covenants and obligations to be performed by the Tenant as provided in this Agreement, the Landlord upon and subject to the terms, covenants and conditions contained herein including the following rights and reservations:
a. The rights of ingress to and egress from the public roadway to the School at any time and for any purpose, with or without vehicles, over the roadways and paths within the immediate Catchment Area provided by the Landlord for the Occupiers and other persons entering the Land provided that it shall be the responsibility of the Tenant to require all such persons to strictly obey all speed limits and other traffic regulations and restrictions applicable within the immediate Catchment Area and to park vehicles only in designated parking areas and not to park on any footpaths or otherwise impede traffic or access.
b. The Landlord reserves the right to exclude from entry to the immediate Catchment Area all persons who fail to comply with road and traffic regulations or restrictions.
3. Commencement
3.1 This Agreement shall come into effect on the date of execution by both Parties and shall continue in force for the duration of the Term unless terminated in accordance with the provisions of this Agreement.
3.2 The Landlord shall give the Tenant vacant possession of the Land on the Hand Over Date and upon satisfaction of the Conditions Precedent the Tenant shall carry out the Tenant’s Works in accordance with clause 5.
4. Conditions Precedent
4.1 In the event that the Conditions Precedent are not satisfied or if it becomes apparent to the Landlord that the Conditions Precedent will not be satisfied by their due date, the Landlord shall have the right to terminate this Agreement on seven days’ written notice whereupon this Agreement shall immediately terminate without right of either Party to compensation.
