1. Preface: The residential mortgage market is in an early stage of development in Egypt. Two Real Estate Lending Companies (RELCs) have already been formed and commercial banks have started offering different mortgage products and more banks showing increased interest in mortgage lending. However, the lack of long term funds presents one obstacle to the flow of private funds to housing. The Egyptian Liquidity Facility (ELF) can help overcome this obstacle through the refinance of mortgage loans originated by primary market lenders (PMLs). This preliminary strategic business plan reviews the structure, operations and projected performance of the ELF as well as the principal risks it will have to manage.
2. Description and Mission: The ELF is a specialized financial institution that provides funds to mortgage lenders raised in the capital markets. The ELF is a wholesale (second tier) institution with a majority ownership by its users. It can neither take deposits nor lend directly to households. It will operate on commercial principles to attract the equity investments of private parties and lever market-based funding for primary lenders at attractive conditions. Its narrow and specialized mission consists in providing loans to qualified PMLs, and issuing bonds and notes in the capital markets. This narrow mission will strengthen the credit quality of the bonds and its transparency and simplicity will reduce the regulatory burden.
3. Future Powers: The narrow mission will not address all funding needs of primary lenders, in particular for off-balance sheet finance. The charter will allow for future non-recourse purchase and securitization through a separately capitalized subsidiary or a SPV. It is not advisable to conduct such business currently or in the near future due to the lack of portfolio history, lender experience with credit risk management, the difficulties of monitoring originator and servicer behavior and the absence of complex (e.g. amortizing, callable, tranched) securities in the bond market.
4. Structure: ELF will raise funds initially through long-term loans from institutional investors and equity contributions from the founding investors, and as soon as possible from bond markets by becoming a well rated and regular issuer. It will initially make refinancing loans to PMLs (only shareholding banks and RELCs) collateralized by mortgage loans at full recourse (the PML committing to buy back any ineligible or defaulting loans). In the future it may purchase loans with and eventually without recourse.
Purpose and Benefits of the ELF
5. Purpose: The ELF will provide term finance to PMLs in order to reduce the liquidity risk (i.e., the risk that the money will be needed before it is available) incurred in their provision of long term loans for housing. Housing is a long-lived, durable good. In order for housing to be affordable to households, the payment stream should be spread out over a number of years, facilitating a match between the benefits received and the costs of the dwelling. Most PMLs in Egypt are commercial banks that rely on abundant short-term deposits for their funding. They are reluctant to extend long-term (e.g., over 5 year) loans for housing because of the liquidity risk inherent in funding such loans with short-term deposits. The newly licensed RELCs have no access to cheaper deposits and depend more critically on long-term external refinancing. By providing an easy access for both types of PMLs to bond finance at any time, the ELF will enable PMLs to make more housing loans, increase the flow of funds to housing and improve the affordability of housing finance in Egypt. The ELF can also facilitate increased competition in the mortgage market by creating a funding source for non-depository lenders.
6. Bonds Issuance: The ELF will be a centralized bond issuer facilitating the development of the Egyptian bond market through frequent issuance of standardized, high quality debt. The ELF will provide PMLs with a cost-effective way to access the capital markets. As a repeat issuer of high quality securities the ELF will lower the fixed transactions cost of bond issuance and achieve greater liquidity in its securities than individual issuers.
5. Expertise: As a limited-purpose institution, the ELF can develop the expertise necessary to manage funding risk effectively, providing benefits for the entire emerging Egyptian financial system. The success of this structure has been proven in a number of other countries such as Jordan and Malysia and can be created within a short period of time. The ELF will be a repository of mortgage market knowledge and expertise benefiting all mortgage market participants. An additional benefit will be a positive role in setting appropriate standards for PML documentation and underwriting of mortgages.

6. Charter: The ELF will be chartered as joint-stock company combined with a precise and narrow charter and specific regulatory advantages. The ELF organization and powers will be tailored to its unique mission. The limited charter will ensure that the ELF concentrates its activities in support of the housing sector through residential mortgage markets. Activities in the areas of commercial property and construction finance will be disregarded during the inception phase. A narrow charter and conservative operations will be important assets in establishing a pristine reputation necessary to ensure that the ELF can be a high quality bond issuer, capable of obtaining competitive yields without government support.
7. Key Functions: The ELF will be legally empowered to effectively perform a number of key functions: refinance credit institutions with an immediate and priority access to their mortgage portfolios (in case of a PML bankruptcy), purchase loans (with recourse and possible without recourse in the future) issue a large amount of tax exempted bonds, enjoy all creditors’ rights including foreclosure, and be subject to effective financial oversight by the Mortgage Finance Authority (MFA).
8. Ownership: The ELF owners will be institutions with majority ownership by its PML users (both active banks and RELCs). The charter will have restrictions on share transfer to maintain user control and access to all qualified lenders, as well as periodic and/or exceptional re-capitalization by the main users in order to preserve the rating and soundness of the ELF. Mortgage lenders must be a member of and contribute capital to the ELF to access its refinancing lines. Domestic equity may be complemented by international investors (e.g., the IFC) to contribute technical assistance in the operations of the ELF.
9. Government Equity Stake: The Government will provide an initial equity stake of xx% into the ELF. The Central Bank of Egypt (CBE) will be a strategic investor with a xx% ownership share. The Mortgage Guarantee and Subsidy Fund will be a second, smaller, strategic investor at xx%.

The Private Enterprise Partnership has organized a workshop for women entrepreneurs and conducted innovative surveys on women in business as part of a broader initiative to strengthen the role of women in the region’s economies.
In collaboration with the Egyptian Business Women Association, PEP-MENA held a marketing and management workshop on May 19 in Cairo for 50 local women entrepreneurs. The workshop also represented a valuable learning exercise for IFC, providing insights as to how to adapt training materials to the specific needs and experiences of women in the region.
Laying the groundwork for focused technical assistance, PEP-MENA has conducted groundbreaking surveys on female entrepreneurs in Yemen, Oman and Morocco. Results from the survey in Yemen, which were presented in June, revealed untapped potential with
women-owned businesses facing difficulties gaining access to finance, clarifying legal obligations, and lacking networks and associations.
Women in other developing economies often report similar challenges, according to recent research by IFC and the World Bank. In a recent survey of African markets by IFC’s Gender Entrepreneurship Markets program, women reported that access to finance represented one of the biggest obstacles to expanding their businesses.
The PEP-MENA survey found that women entrepreneurs in Yemen also often operate in isolation, without legal or trade advice from business membership associations. As a result, women-run businesses struggle to reach foreign markets or lose revenues due to a lack of familiarity with tax and other commercial regulations.
The survey results from Yemen and elsewhere will shape technical assistance projects designed to expand opportunities for women entrepreneurs, serving as models for governments and donors in the region. PEP- MENA’s technical assistance initiatives also will seek to take advantage of the high literacy rates and high levels of education among women in the region, allowing training and advice to be distributed through written materials and the Internet.
PEP-MENA believes unleashing the potential of women entrepreneurs is crucial to strengthening private sector development and reducing unemployment in Middle Eastern and North African economies. At the same time, the initiative will respect cultural sensitivities and be guided by practical requests from women in the business sector.

كما أوضحت الدراسة المسجية التى أجرتها شراكة المشروعات الخاصة بمنطقة الشرق الأوسط وشمال أفريقيا أن المرأة العاملة فى مجال إدارة المشروعات فى اليمن غالباً ما تعمل منعزلة دون حصولها على الاستشارات القانونية أو التجارية من عضوية جمعيات الأعمال. ونتيجة لذلك فإن النساء اللائى يدرن الأعمال والمشروعات يكافحن من أجل الوصول إلى الأسواق الخارجية أو يخسرن العوائد بسبب ضعف تآلفهن مع الضرائب والقواعد التجارية الأخرى.

وتعتقد شراكة المشروعات الخاصة بمنطقة الشرق الأوسط وشمال أفريقيا أن إعطاء الفرصة للقدرات الكامنة لدى النساء العاملات فى مجال إدارة المشروعات يعتبر أحد العوامل الحاسمة فى تعزيز تنمية القطاع الخاص وتقليل نسبة البطالة فى اقتصاديات منطقة الشرق الأوسط وشمال أفريقيا. وفى ذات الوقت ستراعى المبادرة الحساسية الثقافية وأن يتم توجيهها بطلبات عملية من النساء فى قطاع الأعمال.

I’m an Arabic/English/Arabic translator/interpreter. Graduated in the Faculty of Languages and Translation, English Simultaneous Interpretation Department, Al Azhar University in 1981. Since then I have been working in the field with many American well known companies (United States Sports Academy, Transocean, Global Santafi). Having my own translation business gave me the opportunity to provide translation/interpretation services to many clients. World Bank, United Nations Developing Program (UNDP), Global Environment Facility (GEF), International Finance Corporation (IFC) and many other organizations, governmental bodies are some of my clients.
I’m a full member of Proz and actively participating in its different activities. If I have to talk about myself, I would say I’m accurate, precise and always adhere to the time limits. Translation art is my passion.
