THIS AGREEMENT is made on 20
BETWEEN:
(1) THE MINISTRY OF FINANCE OF THE UNITED ARAB EMIRATES ( Federal Law No. 1/1972, whose principal place of business is located at PO Box 433, Abu Dhabi, United Arab Emirates ("Customer"); and
(2) [CONSULTANT] a company incorporated and registered in the United Arab Emirates (company number ) which has its [registered office at ] [principal place of business at ] ("Consultant").
BACKGROUND:
A The Customer requires certain consultancy services in relation to [insert description].
B The Consultant offers consultancy services in the field of [briefly describe work] to customers in the Customer's industry and has represented to the Customer that it has considerable skill, knowledge and experience in that field.
C In reliance on that skill, knowledge and experience the Customer wishes to engage the Consultant to provide the services and the Consultant accepts this engagement on the terms and conditions set out in this Agreement
each a "Party", and together the "Parties"
IT IS AGREED:
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
In this Agreement:
"Affiliate" means, in relation to Customer, the Government, and each Government entity;
"Agreement" means these terms and conditions, which includes the recitals, the attached schedules and each Statement of Work;
"Authorised Representative" means a person who, at the relevant point in time, holds the position of:
(a) in the case of Customer, [insert]; or
(b) in the case of Consultant, [insert];
"Background IPRs" means Intellectual Property Rights that belong to or are licensed to a Party prior to the Commencement Date and/or that are generated or acquired (including under licence) by a Party after the Commencement Date independently of this Agreement;
"Charges" means, in respect of a Statement of Work, the charges set out in that Statement of Work;
"Commencement Date" means the [date of signature of this Agreement];
"Confidential Information" means all information in any form which is disclosed by one Party to the other Party whether before or after the Commencement Date, which is designated in writing as confidential or would appear to a reasonable person to be confidential and which relates to a Party's business including its products, operations, processes, plans or intentions, developments, trade secrets, know how, design rights, market opportunities, personnel, suppliers and customers of the Party disclosing it, and all information derived from any of the foregoing, and the Customer’s confidential information shall be deemed to include all information relating to any Affiliate or any Government entity, body or institution and all Customer Data and all information derived from any of the foregoing together with the existence, and provisions, of the Agreement and the negotiations relating to it ;
"Customer Data" means:
(a) all data, information, text, drawings, statistics, analysis and other materials embodied in any form relating to the Customer; and
(b) all Personal Data,
which may be supplied by the Consultant, the Customer and/or which the Consultant (and/or any Sub-contractors) generates, collects, processes, stores or transmits in connection with this Agreement;
"Defect" means a mistake, defect, error, bug or other problem with a Software Deliverable such that it does not conform to Customer requirements and/or Specification and/or otherwise does not perform as expected;
"Deliverable(s)" means any outputs (tangible or intangible) including reports, user guides, operating procedures and other documents which are produced, delivered and/or made available to the Customer in connection with the performance of the Services, including any item identified in a Statement of Work as a "Deliverable" or a "Software Deliverable";
"Force Majeure Event" means an event which is beyond the reasonable control of a Party which was not caused by, and could not have been reasonably planned for, or avoided by, such Party and which prevents such Party from performing any of its obligations under the Agreement including natural disaster, fire, flood, lightning, war, revolution, government-imposed period of mourning, act of terrorism, riot or civil commotion and worker strikes (other than strikes by employees of the Party claiming the occurrence of such event), provided that no event shall be considered to be an event of force majeure to the extent such circumstance is due to the neglect, negligence, breach of contract or breach of applicable law or other statutory duty of the affected Party or any of its sub-contractors, employees, affiliates or agents;
"Good Industry Practice" means the exercise of the highest degree of skill, care, diligence, prudence and foresight which would reasonably be expected from a person highly skilled and experienced in providing services similar to the Services;
"Government" means the Federal Government of the United Arab Emirates;
"Intellectual Property Rights" means:
(a) patents, utility models, supplementary protection certificates, petty patents, rights in trade secrets and other confidential or undisclosed information (such as inventions (whether patentable or not) or know-how), plant variety rights, registered designs, rights in copyright (including authors' and neighbouring or related rights), database rights, design rights, semiconductor topography rights, mask work rights, trade marks and service marks;
(b) all registrations or applications to register any of the items referred to in paragraph (a); and
(c) all rights in the nature of any of the items referred to in paragraphs (a) or (b) including continuations, continuations in part and divisional applications, reputation, personality or image, trade names, business names, brand names, get-up, logos, domain names and URLs, rights in unfair competition and, without prejudice to anything set out elsewhere in this definition, rights to sue for passing off and all rights having equivalent or similar effect to, and the right to apply for any of, the rights referred to in this definition in any jurisdiction;
"Key Dates" means those dates specified as "Key Dates" in a Statement of Work;
"Laws" means any applicable law, statute, bye-law, regulation, order, regulatory policy (including any requirement or notice of any regulatory body), guidance or industry code of practice, rule of court or directives, delegated or subordinate legislation;
"Location" means, in respect of a Statement of Work, the location(s) set out in that Statement of Work;
"Object Code" means the machine-readable and executable form of the software contained in a Software Deliverable;
"Performance Bond" means a bond issued by a bank or financial institution nominated by the Consultant, in the form set out in Schedule 4 (Performance Bond);
"Personal Data" means any information or an opinion (including information or an opinion forming part of a database and whether or not recorded in a material form) about an individual whose identity is apparent or can reasonably be ascertained from the information or opinion and includes all information which falls within the definition of "Personal Data" or "Personal Information" or similar term under any Law;
"Personnel" means, in respect of a Statement of Work the Consultant's personnel (and their replacements) set out in that Statement of Work;
"Services" means, in respect of a Statement of Work, the services to be provided pursuant to this Agreement and further described in that Statement of Work;
"Software Deliverable" means a Deliverable that contains computer programs in Object Code and/or Source Code (as the case may be), together with any technical information and documentation necessary for the use of such programs;
"Source Code" means, in relation to any Software Deliverable:
(a) electronic and hard copy versions of the set of human readable, higher level programming language instructions or statements in which the software was written;
(b) all relevant libraries required by the Software Deliverable to operate; and
(c) any additional documents and information as the Customer may reasonably require to maintain, modify, alter, upgrade, develop, or enhance any part of the Software Deliverable;
"Specification" means the specification for the creation and/or configuration and/or implementation of a Software Deliverable such that it meets the Customer requirements, as set out in and/or created pursuant to this Agreement;
"Statement of Work" means each written statement of work document which is, during the Term, agreed between the Parties pursuant to this Agreement and signed by each Party's Authorised Representative;
"Sub-contractor" means a sub-contractor of the Consultant engaged by the Consultant to provide the Services or any part of them, or facilities or services used in the provision of the Services or any part of them;
"Third Party" means any person or entity which is not a Party to this Agreement;
"Warranty Period" means as set out in a Statement of Work; and
"Working Day" means Sunday to Thursday, from 7.30am till 3.30pm, excluding public holidays.
1.2 Interpretation
In this Agreement (unless the context requires otherwise):
1.2.1 the words "including", "include", "for example", and words of similar effect shall not limit the general effect of the words which precede them;
1.2.2 reference to any agreement, contract, document or deed shall include that document as varied, supplemented or novated from time to time;
1.2.3 words importing the singular shall include the plural and vice versa;
1.2.4 words importing any one gender shall not exclude other genders;
1.2.5 the headings, index and front sheet are all for reference only and shall be ignored when construing this Agreement;
1.2.6 references to a clause, schedule, paragraph or appendix are references to the clause, schedule, paragraph or appendix of, or to, this Agreement;
1.2.7 if there is any conflict or ambiguity between the clauses and the schedules, the clauses shall prevail; and
1.2.8 reference to any legislative provision shall be deemed to include any statutory instrument, bye-law, regulation, rule, subordinate or delegated legislation or order and any rules and regulations which are made under it, and any subsequent re-enactment or amendment of the same.
2. TERM
2.1 Unless terminated earlier in accordance with the provision of clause 9 or otherwise by operation of Law, this Agreement shall take effect from the Commencement Date and shall continue in force for an initial term of [insert number] years ("Initial Term").
The Customer shall have the right to extend the term for a further period of [insert number] [year(s)] ("Renewal Term") by giving notice to the Consultant prior to the expiry of the Initial Term. Any Renewal Term will take effect on the terms of this Agreement that subsist immediately prior to the Renewal Term taking effect.
3. STATEMENTS OF WORK
3.1 Where the Customer wishes to engage the Consultant to provide Services and/or Deliverables to the Customer, the Parties shall enter into separate Statements of Work for the Services and/or Deliverables to be provided by the Consultant under this Agreement.
3.2 The Customer shall be entitled at any time during the Term to request the provision of Services and / or Deliverables from the Consultant, and the Consultant shall within [ten (10)] Working Days of such a request, provide the Customer with a draft Statement of Work to reflect such request using the pro forma Statement of Work set out in schedule 1 (Template Statement of Work). The Parties thereafter will negotiate to seek to agree upon the detail and content of the draft Statement of Work. The Parties will act reasonably in their discussions in connection with a Statement of Work.
3.3 The Parties acknowledge and agree that:
3.3.1 a Statement of Work shall only be valid if in writing and signed by each Party's Authorised Representative;
3.3.2 each Statement of Work shall form part of and be subject to this Agreement;
3.3.3 a Statement of Work cannot vary any clause of, or schedule to, this Agreement;
3.3.4 each Statement of Work shall, unless otherwise agreed between the Parties, be prepared using the form attached at schedule 1 (Template Statement of Work);
3.3.5 the Charges payable in respect of the Consultant's performance of a Statement of Work shall be set out in the relevant Statement of Work in accordance with the requirements of schedule 2 (Charges); and
3.3.6 each Statement of Work shall be prepared by the Consultant so that it is sufficiently detailed to enable the Parties to properly understand their respective rights and obligations under the Statement of Work, and shall include as a minimum a sufficient expression of the following items: Services, Deliverables, Key Dates, Consultant’s Personnel, Customer’s contact person and reporting requirements.
4. DELIVERY
4.1 The Consultant shall perform its obligations under this Agreement and provide the Services and Deliverables in accordance with:
4.1.1 the terms of this Agreement;
4.1.2 each relevant Statement of Work;
4.1.3 Good Industry Practice;
4.1.4 all applicable Laws;
4.1.5 the Customer's policies relevant to the performance of the Services and delivery of the Deliverables, as made available to the Consultant from time to time, or of which the Consultant ought reasonably to have been aware; and
4.1.6 the Customer's reasonable instructions.
4.2 The Consultant shall, without prejudice and in addition to clause 4.1 above, provide the following as part of the Services:
4.2.1 any assistance reasonably required by the Customer and/or their provider(s) of goods and/or services; and
4.2.2 a project management and quality evaluation and oversight service for the co-ordination and quality assurance of all of the Consultant's obligations; and
4.2.3 any services, functions and responsibilities (including any incidental services, functions and responsibilities) not expressly specified in this Agreement or a Statement of Work as being within the scope of the Consultant's responsibilities but which are reasonably and necessarily required for, or necessarily and/or reasonably related to, the proper performance and provision of the Services or Deliverables.
4.3 The Consultant shall observe all health and safety rules and regulations and any other reasonable security requirements that apply at any of the Customer's premises from time to time. The Customer reserves the right to refuse any of the Consultant's Personnel involved in the provision of the Services access to the Customer's premises or Locations, which shall only be given in so far as it is necessary for the performance of the Services.
4.4 Time is of the essence in relation to any performance dates for the Consultant. If the Consultant fails to meet the relevant deadlines (including the Key Dates), then (without prejudice to the Customer's right to terminate this Agreement and any other rights it may have), the Customer may:
4.4.1 refuse to accept any subsequent performance of the Services and/or delivery of the Deliverables which the Consultant attempts to make;
4.4.2 purchase substitute services and/or deliverables from elsewhere and reclaim from the Consultant any additional costs incurred as a result of procuring such services and/or deliverables from a Third Party instead of the Consultant;
4.4.3 hold the Consultant accountable for any loss and additional costs incurred; and
4.4.4 have any sums previously paid by the Customer to the Consultant in respect of the affected Services and/or Deliverables refunded by the Consultant.
4.5 In relation to the Consultant's Personnel, the Consultant shall:
4.5.1 use the Personnel in the provision of the Services and the Deliverables;
4.5.2 ensure that all Personnel involved in the performance of its obligations under this Agreement have suitable skills and experience to enable them to perform the tasks assigned to them, and that such Personnel are in sufficient number to enable the Consultant to fulfil its obligations under this Agreement;
4.5.3 ensure that the Consultant's manager has authority to bind the Consultant on all matters relating to the Services and Deliverables; and
4.5.4 not make any changes to the Personnel throughout the term of this Agreement without the prior written approval of the Customer (such approval not to be unreasonably withheld or delayed) and, where such approval is given promptly, replace such individuals (subject to the Customer's approval, if required by the Customer).
4.6 The Consultant acknowledges that it is not being appointed as an exclusive Consultant of any of the Services or Deliverables and the Customer may at any time perform services which are the same or similar to the Services, or provide deliverables which are the same or similar to the Deliverables, itself or procure them from a Third Party. The Consultant will provide such assistance to the Customer or a Third Party as the Customer reasonably requests (subject to the Customer's approval, if required by the Customer).
4.7 The Services shall be carried out at the Location.
4.8 The Consultant shall ensure that the Services and the Deliverables are adequate for the Customer's requirements.
4.9 The Consultant shall ensure that no viruses, worms, trojan horses, cancel bolts or any other computer code designed to disrupt or adversely impact computer systems, networks or devices are coded or introduced into the Customer IT environment as a result of the provision of, or in connection with, the Services or the Deliverables.
Software Deliverable Design
4.10 Where a Statement of Work requires the Consultant to develop and/or provide Software Deliverables, the Consultant shall, prepare Specifications for Software Deliverables as necessary to meet the requirements for that Software Deliverable and each such Specification shall itself be a Deliverable.
4.11 For Software Deliverables, the Consultant shall work with the Customer to determine and agree input into the Customer's enterprise architecture design, ensuring a fit with the Customer's enterprise architecture and the Customer's enterprise architecture design strategy.
4.12 All Specifications shall be sufficiently detailed to enable any person reasonably skilled in the relevant programming language to develop Software Deliverables corresponding thereto which are of a standard and quality required by the Agreement.
4.13 The Consultant is responsible at all times for the clarity, accuracy, fitness, suitability, and completeness of each Specification and its compliance with the Customer's requirements.
4.14 The Consultant agrees and acknowledges that any approval by the Customer of any Specification shall:
4.14.1 be given from the perspective of a customer only and not as an information expert. As such, all design risk and risk in the development and implementation of any Software Deliverable and the provision of the Services and Deliverables shall remain with Consultant, including any ambiguity in the Customer's requirements which the Consultant did not resolve prior to developing the Specifications or commencing build of the Software Deliverable; and
4.14.2 not relieve the Consultant of its obligation under the Agreement to provide Deliverables as necessary to meet all of the Customer's requirements.
4.15 Without prejudice to the Customer's other rights and remedies under this Agreement or any Law, all Defects found in a Software Deliverable by the Consultant or the Customer during the Warranty Period shall be promptly corrected by the Consultant (and without additional charge to the Customer).
4.16 The Consultant shall deliver all Software Deliverables in Source Code and Object Code.
5. CONSULTANT'S GENERAL OBLIGATIONS
5.1 The Consultant shall:
5.1.1 provide the Services and Deliverables so as to meet the Key Dates;
5.1.2 comply with (and shall procure that any of its Sub-contractors comply with) the rules and regulations which are notified to it in accordance with clause 6.1.2;
5.1.3 comply with the reasonable requests of the Customer and shall promote the interests of the Customer when providing the Services;
5.1.4 keep (and shall procure that any of its Sub-contractors keep) full and accurate records of the time spent providing the Services and shall provide copies of these records to the Customer promptly upon request; and
5.1.5 immediately tell the Customer's Authorised Representative if it is prevented from performing the Services or providing the Deliverables due to the illness or injury of Personnel or such Personnel leaving the Consultant, and keep the Authorised Representative informed as to the expected duration of the absence. Within one (1) Working Day of notifying the Customer of this absence, the Consultant shall provide replacement Personnel and shall bear the familiarisation and other costs associated with any replacement of the Consultant's Personnel.

يقصد بـ "أحداث القوة القاهرة" هي تلك الأحداث التي تخرج عن السيطرة المعقولة لأي من الطرفين التي لم يكن سببها أي طرف ولم يخطط لها أو يلغيها بشكل منطقي والتي من شأنها أن تعيق هذا الطرف عن الوفاء بأي من التزاماته بموجب هذه الاتفاقية بما في ذلك الكوارث الطبيعية أو الحرائق أو الفيضانات أو البرق أو الحرب أو الثورات أو فترة الحداد التي تعلنها الحكومة أو أعمال الإرهاب أو الشغب أو الاضطرابات المدنية وإضرابات العمال (خلافًا لتلك الإضرابات التي يقوم بها العاملين لدى الطرف الذي يدعي وقوع مثل هذا الحدث) شريطةً ألا يندرج أي حدث ضمن أحداث القوة القاهرة إلى الحد الذي يكون فيه هذا الظرف نتيجة الإهمال أو الإخلال بالعقد أو الإخلال بالقانون المعمول به أو الواجب القانوني الآخر للطرف المتضرر أو أي من المقاولين من الباطن أو العاملين أو التابعين أو الوكلاء:
يقصد بـ "ممارسات الصناعة الجيدة" هي ممارسة أعلى درجات من المهارة والرعاية والعناية والحكمة والتبصر التي يمكن توقعها بشكل منطقي من أحد الأشخاص من ذوي المهارات والخبرات العالية في تقديم خدمات مماثلة لتلك الخدمات؛
يقصد بمصطلح "الحكومة" هي الحكومة الاتحادية لدولة الإمارات العربية المتحدة؛
يقصد بمصطلح "حقوق الملكية الفكرية" الآتي:
أ- براءات الاختراع، ونماذج المنفعة، وشهادات الحماية التكميلية وبراءات الاختراع الثانوية والحقوق في أسرار التجارة وغيرها من المعلومات السرية أو غير المفصح عنها (مثل الابتكارات (سواء كانت مستحقة البراءة أم لا) أو المهارات) وحقوق حماية الأصناف النباتية المتنوعة والتصميمات المسجلة وحقوق النشر والتأليف (بما في ذلك الحقوق المرتبطة بالتأليف والجوار) وحقوق قواعد البيانات وحقوق التصميم وحقوق طوبوغرافيا أشباه الموصلات والعلامات التجارية وعلامات الخدمة؛
ب- جميع التسجيلات أو الطلبات اللازمة لتسجيل أي من البنود المشار إليها في الفقرة (أ)؛
ج- جميع الحقوق فيما يتعلق بأي من البنود المشار إليها بالفقرات (أ) أو (ب) بما في ذلك طلبات الاستمرار وطلبات الاستمرار الجزئي والطلبات الجزئية أو السمعة أو الشخصية أو الصورة أو الأسماء التجارية أو العلامات التجارية أو حقوق التغليف أو الشعارات وأسماء المجال ومعرف الموارد الموحد وحقوق المنافسة غير المشروعة ودون الإخلال بأي شيء ورد أيضًا في هذا التعريف وحقوق المقاضاة بسبب تقديم سلع مقلدة على أنها أصلية وجميع الحقوق التي لها تأثير مماثل أو مكافئ وحق المطالبة بأي من الحقوق المشار إليها في هذا التعريف في أي اختصاص.
يقصد بمصطلح "المواعيد الرئيسية" هي تلك المواعيد المحددة بأحد بيانات العمل؛
يقصد بمصطلح "القوانين" هو أي قانون أو تشريع أو لائحة داخلية أو نظام أساسي أو أمر أو سياسة تنظيمية معمول بها (بما في ذلك أي شرط أو إخطار مقدم من أي هيئة تنظيمية) أو توجيه أو قانون خاص بممارسات الصناعة أو توجيهات أو حكم المحكمة أو التشريع الثانوي أو المفوض؛
يقصد بمصطلح "الموقع" فيما يتعلق ببيان العمل هو ذلك الموقع (المواقع) المحددة ببيان العمل؛
يقصد بمصطلح "رمز الآلة" هو نوع من البرامج القابلة للتنفيذ والقراءة الآلية المدرجة بالبرامج المنجزة؛
يقصد بمصطلح "ضمان الأداء" هو ذلك الضمان الذي يصدره البنك أو المؤسسة المالية المرشحة من الخبير الاستشاري بالشكل المبين في الجدول 4 (ضمان الأداء)؛
يقصد بمصطلح "البيانات الشخصية" أي معلومات أو رأي (بما في ذلك أي معلومات أو أراء تشكل جزءًا من قاعدة البيانات سواء تم أو لم يتم تسجيلها في أحد النماذج المالية) تتعلق بأي شخص هويته واضحة أو يمكن التحقق بشكل معقول من البيانات أو الرأي وتشمل جميع المعلومات التي تقع ضمن تعريف "البيانات الشخصية" أو "المعلومات الشخصية" أو مصطلح مماثل بموجب أي قانون؛
يقصد بمصطلح "العاملون" فيما يتعلق بنطاق عمل العاملين لدى الخبير الاستشاري (ومن يحل محلهم) على النحو المبين في بيان العمل؛
يقصد بمصطلح "الخدمات" فيما يتعلق ببيان العمل، هي تلك الخدمات التي من المقرر تقديمها طبقًا لهذه الاتفاقية والموضحة أيضًا ببيان العمل؛
يقصد بمصطلح "منجزات البرامج" هي تلك المنجزات التي تحتوي على برامج الكمبيوتر في كود الآلة أو كود المصدر (حسبما تقتضي الحالة) إلى جانب أي من المعلومات الفنية والوثائق اللازمة لاستخدام هذه البرامج؛
يقصد بمصطلح "كود المصدر" فيما يرتبط بأي من منجزات البرامج:
أ- النسخ الإلكترونية والمطبوعة من مجموعة من بيانات أو تعليمات لغة البرمجة الإنسانية المقروءة على أعلى مستوى حيث يتم كتابة البرامج؛
ب- جميع المكتبات ذات الصلة التي تتطلبها منجزات البرامج لتشغيلها؛
ج- أي مستندات ومعلومات إضافية قد يحتاجها العميل بشكل منطقي لضمان بقاء أو تعديل أو تحديث أو تطوير أو تعزيز أي جزء من منجزات هذه البرامج؛
يقصد بمصطلح "المواصفات" هي المواصفات اللازمة لإعداد أو تهيئة أو تنفيذ منجزات البرامج مثل تلك البرامج التي تلبي احتياجات العميل على النحو المبين أو المعد طبقًا لهذه الاتفاقية؛
يقصد بمصطلح "بيان العمل" هو كل بيان عمل خطي يتفق عليه الطرفان خلال مدة العقد بموجب هذه الاتفاقية ويوقع عليه الممثل المفوض لكل طرف؛
يقصد بمصطلح "المقاول من الباطن" هو ذلك المقاول من الباطن التابع للخبير الاستشاري ويقوم الخبير الاستشاري بإشراكه لتقديم الخدمات أو أي جزء منها أو المرافق أو الخدمات المستخدمة في تقديم الخدمات أو أي جزء منها؛
يقصد بمصطلح "الغير" أي شخص أو كيان لا يعد طرفًا في هذه الاتفاقية؛
يقصد بمصطلح "فترة الضمان" على النحو الوارد في بيان العمل؛
يقصد بمصطلح "يوم العمل" من الأحد إلى الخميس اعتبارًا من 7:30 صباحًا حتى 3:30 مساءً باستثناء الإجازات العامة.
1-2 التفسير
في هذه الاتفاقية (ما لم يقتضي السياق خلاف ذلك):
يحظر ألا تحد الكلمات "بما في ذلك" و"تشمل" و"على سبيل المثال" والكلمات التي لها تأثير مماثل من التأثير العام للكلمات التي تسبقها؛
تشمل الإشارة إلى أي اتفاقية أو عقد أو مستند أو وثيقة ذلك المستند الذي يتم تغييره أو استكماله أو تجديده من وقت لآخر؛
تشمل الكلمات التي تشير إلى المفرد تلك الكلمات التي تشير إلى الجمع والعكس؛
لا تستبعد الكلمات التي تشير إلى أي جنس تلك الأجناس الأخرى؛
تستخدم جميع العناوين والفهرس والورقة الأمامية كمرجع فقط ويتم تجاهلها عند تفسير هذه الاتفاقية؛
تعد الإشارات إلى أي بند أو جدول أو فقرة أو ملحق بمثابة إشارات للبند أو الجدول أو الفقرة أو الملحق المرفق بهذه الاتفاقية؛
إذا كان هناك تعارض أو التباس بين البنود والجداول؛ تسري بنود هذه الاتفاقية
تشمل الإشارة إلى أي حكم تشريعي أي مرسوم بقانون أو نظام داخلي أو لائحة أو حكم أو تشريع ثانوي أو مفوض أو أمر وأي لوائح وقواعد يتم إصدارها بموجب هذه الاتفاقية وأي تعديل أو إعادة تشريع لاحق لهم.
(2) المدة
2-1 تصبح هذه الاتفاقية نافذة اعتبارًا من تاريخ البدء وتظل نافذة لفترة أولية مدتها (أدخل الرقم) سنة ما لم يتم إلغاء العقد في وقت سابق طبقًا لحكم البند التاسع أو غير ذلك بإعمال القانون ويشار إليها باسم ("المدة الأولية").
يحق للعميل تمديد المدة لفترة إضافية (أدخل عدد السنوات) (يشار إليها باسم "مدة التجديد") بتقديم إخطار للخبير الاستشاري قبل انتهاء المدة الأولية، وتطبق أي فترة تجديد على الشروط الواردة في هذه الاتفاقية التي تستمر على الفور قبل سريان فترة التجديد.
(3) بيان العمل
حينما يبدي العميل رغبته في إشراك الخبير الاستشاري لتقديم الخدمات أو المنجزات للعميل؛ يقوم الطرفان بإدخال بيانات عمل منفصلة حيز التنفيذ للخدمات أو المنجزات التي من المقرر أن يقدمها الخبير الاستشاري بموجب هذه الاتفاقية.
يحق للعميل في أي وقت أثناء مدة العقد المطالبة بتقديم الخدمات أو المنجزات من الخبير الاستشاري ويقدم الخبير الاستشاري خلال (10 أيام) عمل من تقديم هذا الطلب للعميل مسودة بيان عمل ليبرز هذا الطلب مستخدمًا الصيغة الشكلية لبيان العمل الوارد في الجدول رقم 1 (نموذج بيان العمل). يتفاوض الطرفان بعد ذلك للسعي للاتفاق على التفاصيل ومحتوى مسودة بيان العمل، ويتصرف الطرفان بشكل معقول في مناقشاتهما فيما يتعلق ببيان العمل.
يتعهد الطرفان ويوافق كلاهما على الآتي:
يصبح بيان العمل ساريًا إذا قام الممثل المفوض لكل طرف بالتوقيع كتابيًا؛
يشكل كل بيان عمل جزءًا لا يتجزأ من هذه الاتفاقية ويخضع لها؛
لا يمكن أن يغير أي بيان عمل أي بند أو جدول مرفق بهذه الاتفاقية؛
يتم إعداد كل بيان عمل ما لم يتفق الطرفان على خلاف ذلك باستخدام النموذج المرفق في الجدول رقم 1 (نموذج بيان العمل)؛
يتم تحديد الرسوم واجبة السداد فيما يتعلق بتقديم الخبير الاستشاري لبيان العمل في بيان العمل ذات الصلة طبقًا للشروط الواردة بالجدول رقم 2 (الرسوم)؛
3-3-6 يقوم الخبير الاستشاري بإعداد كل بيان عمل بحيث يكون مفصلاً بما يكفي لتمكين الطرفين لاستيعاب الحقوق والالتزامات المنوطة بهم على نحو صحيح بموجب بيان العمل ويشمل كحد أدنى تعبير وافٍ للبنود التالية: الخدمات والمنجزات والمواعيد الأساسية والعاملين لدى الخبير الاستشاري وشخص تابع للعميل يمكن التواصل معه والمتطلبات الخاصة بإعداد التقارير.
(4) التسليم
4-1 يؤدي العميل الالتزامات المنوطة به بموجب هذه الاتفاقية ويقدم الخدمات والمنجزات طبقًا للآتي:
شروط هذه الاتفاقية؛
كل بيان عمل ذات صلة؛
ممارسات الصناعة الجيدة؛
جميع القوانين المعمول بها؛
سياسات العميل المرتبطة بتقديم الخدمات وتسليم المنجزات على النحو المقدم للخبير الاستشاري من وقت لآخر أو تلك التي يجب أن يكون الخبير الاستشاري على دراية بها؛
التعليمات المنطقية المقدمة من العميل.
4-2 يقدم العميل الآتي دون الإخلال وبالإضافة إلى البند 4-1 أعلاه كجزء من الخدمات:
4-2-1 أي مساعدة مطلوبة بشكل منطقي من العميل أو مقدم (مقدمي) الخدمات أو السلع؛
4-2-2 إدارة المشروع وتقييم الجودة وخدمة الرقابة اللازمة للتنسيق وضمان الجودة لكل الالتزامات المنوطة بالخبير الاستشاري؛
4-2-3 أي خدمات أو مهام أو مسؤوليات (بما في ذلك أي خدمات ومهام ومسؤوليات طارئة) لم تحدد صراحةً في هذه الاتفاقية أو في بيان العمل باعتبارها ضمن نطاق مسؤوليات الخبير الاستشاري لكنها قد تصبح لازمة بشكل معقول وضروري أو مرتبطة بشكل معقول أو منطقي بالأداء السليم وتقديم الخدمات أو المنجزات.
4-3 يتبع الخبير الاستشاري جميع قواعد ولوائح الصحة والسلامة وأي متطلبات أخرى أمنية معقولة التي تطبق على أي من مقرات العميل من وقت لآخر، ويحتفظ العميل بحقه في رفض دخول أي من العاملين لدى الخبير الاستشاري المشاركين في تقديم الخدمات إلى مواقع أو مقرات العميل التي يجب تقديمها فقط في الحالات التي تعد ضرورية لأداء الخدمات.
4-4 الوقت هو جوهر المسألة المرتبطة بأي من مواعيد الأداء للخبير الاستشاري، وإذا أخفق الخبير الاستشاري في استيفاء المواعيد النهائية ذات الصلة (بما في ذلك المواعيد الرئيسية)؛ فإنه (دون الإخلال بحق العميل في إلغاء هذه الاتفاقية وأي حقوق أخرى يمتلكها) يجوز للعميل الآتي:
4-4-1 رفض قبول أي تقديم لاحق للخدمات أو تسليم للمنجزات التي يحاول الخبير الاستشاري القيام بها؛
4-4-2 الحصول على خدمات أو منجزات بديلة من أي مكان آخر ومطالبة الخبير الاستشاري بأي تكاليف إضافية متكبدة نتيجة الحصول على هذه الخدمات أو المنجزات من الغير بدلاً من الخبير الاستشاري؛
4-4-3 تحمل الخبير الاستشاري المسؤولية عن أي خسائر وتكاليف إضافية متكبدة؛
4-4-4 الحصول على أي مبالغ مدفوعة مسبقًا من جانب العميل إلى الخبير الاستشاري بشأن الخدمات المتضررة أو المنجزات المعاد تمويلها إلى الخبير الاستشاري.
4-5 يحق للخبير الاستشاري فيما يرتبط بالعاملين لدى الخبير الاستشاري الآتي
4-5-1 الاستفادة من العاملين لتقديم الخدمات والمنجزات؛
4-5-2 ضمان تمتع جميع العاملين المشاركين في الوفاء بالتزاماتهم بموجب هذه الاتفاقية بمهارات وخبرات مناسبة لتمكينهم من أداء المهام المنسوبة لهم وأن هناك عدد كافي من هؤلاء العاملين لتمكين الخبير الاستشاري للوفاء بالالتزامات المنوطة بهم بموجب هذه الاتفاقية؛
4-5-3 ضمان أن مدير الخبير الاستشاري لديه صلاحية لإلزام الخبير الاستشاري بشأن جميع المسائل المرتبطة بالخدمات والمنجزات؛
4-5-4 عدم إجراء أي تغييرات للعاملين طوال مدة هذه الاتفاقية دون موافقة خطية مسبقة من العميل (هذه الموافقة لا يمكن حجبها أو تأخيرها بشكل غير منطقي) وحينما يتم تقديم هذه الموافقة على الفور؛ يتم استبدال هؤلاء الأفراد (تخضع لموافقة العميل إذا لزم الأمر من جانب العميل).
4-6 يتعهد الخبير الاستشاري بأنه لن يعين كخبير استشاري لأي من الخدمات أو المنجزات ويجوز للعميل في أي وقت تقديم الخدمات المشابهة أو المماثلة للخدمات أو تقديم المنجزات المماثلة أو المشابهة لتلك المنجزات ذاتها أو الحصول عليها من الغير، ويقدم الخبير الاستشاري هذه المساعدة للعميل أو الغير كما يتطلبها العميل بشكل منطقي (اعتمادًا على موافقة العميل إذا لزم الأمر من جانب العميل).
4-7 يتم تنفيذ الخدمات في الموقع.
4-8 يضمن الخبير الاستشاري أن الخدمات والمنجزات ملائمة لمتطلبات العميل.
4-9 يضمن الخبير الاستشاري أنه لا توجد أي فيروسات أو أحصنة طروادة أو برامج إلغاء آلية أو فيروسات خبيثة أو أي رمز كمبيوتر آخر مصمم لتعطيل أو التأثير سلبًا على أنظمة الكمبيوتر أو أي شبكات أو أجهزة مشفرة أو مقدمة داخل بيئة تكنولوجيا المعلومات الخاصة بالعميل نتيجة تقديم أو ذات صلة بالخدمات أو المنجزات.
تصميم منجزات البرامج
4-10 حينما يتطلب بيان العمل من الخبير الاستشاري تطوير أو تقديم منجزات البرامج؛ يقوم الخبير الاستشاري بإعداد المواصفات لمنجزات البرامج إذا لزم الأمر لاستيفاء شروط منجزات البرامج وأن تكون كل هذه المواصفات ذاتها قابلة للتسليم.
4-11 وبالنسبة لمنجزات البرامج، يعمل الخبير الاستشاري مع العميل لتحديد والموافقة على المشاركة بالتصميم الهندسي لمشروع العميل مع ضمان تناسبها مع التصميم المعماري لمشروع العميل وإستراتيجية التصميم المعماري للعميل.
4-12 جميع المواصفات موضحة بالتفصيل بالقدر الكافي لتمكين أي شخص مدرب بشكل منطقي على لغة البرمجة ذات الصلة لتطوير منجزات البرامج المطابقة لها وهي ذات معايير وجودة تتطلبها هذه الاتفاقية.
4-13 يتحمل الخبير الاستشاري المسؤولية في جميع الأوقات فيما يتعلق بالوضوح والدقة والكفاءة والملاءمة واكتمال جميع المواصفات وامتثالها لمتطلبات العميل.
4-14 يوافق الخبير الاستشاري ويتعهد أن أي موافقة من جانب العميل على أي مواصفات:
4-14-1 تقدم من منظور عميل فقط وليس من منظور خبير معلومات. وعلى هذا النحو، فإنه تظل جميع مخاطر التصميم ومخاطر التطوير والتنفيذ لأي من منجزات البرامج وتقديم الخدمات والمنجزات مع الخبير الاستشاري بما في ذلك أي التباس في متطلبات العميل التي لم يقم العميل بتسويتها قبل تطوير المواصفات أو بدء إعداد منجزات البرامج؛
4-14-2 ألا تعفي الخبير الاستشاري من التزاماته بموجب هذه الاتفاقية لتقديم المنجزات عند الضرورة لتلبية متطلبات العميل.
4-15 يقوم الخبير الاستشاري على الفور بتصحيح جميع العيوب الموجودة بمنجزات البرامج المقدمة من جانب الخبير الاستشاري أو العميل ودون الإخلال بالحقوق الأخرى للعميل والتعويضات بموجب هذه الاتفاقية أو أي قانون آخر (ودون تكلفة إضافية على العميل).
4-16 يسلم الخبير الاستشاري جميع منجزات البرامج بكود المصدر وكود الآلة.
(5) الالتزامات العامة للخبير الاستشاري
يقوم الخبير الاستشاري:
5-1-1 بتقديم الخدمات والمنجزات لاستيفاء المواعيد الأساسية؛
5-1-2 الالتزام (ضمان امتثال أي من المقاولين من الباطن) باللوائح والقواعد التي يتم الإخطار بها طبقًا للبند 6-1-2؛
5-1-3 الامتثال للطلبات المنطقية للعميل وتعزيز مصالح العميل عند تقديم الخدمات؛
5-1-4 الاحتفاظ (وضمان احتفاظ أي من المقاولين من الباطن) بالسجلات الكاملة والدقيقة للوقت المستغرق أثناء تقديم الخدمات وتقديم نسخ من هذه السجلات للعميل على الفور عند الطلب؛
5-1-5 إخطار ممثل العميل المفوض على الفور إذا مُنع من تقديم الخدمات أو تقديم المنجزات نتيجة لمرض العاملين أو إصابتهم أو تركهم للخبير الاستشاري وإخطار الممثل المفوض أثناء فترة الغياب المتوقعة. يقدم الخبير الاستشاري خلال (1) يوم عمل واحد من إخطار العميل بغيابه عمال بدلاء ويتحمل التعريف والتكاليف الأخرى المرتبطة باستبدال العمال التابعين للخبير الاستشاري.
